Paid Services. If the Customer wishes to benefit from additional functionalities, it will have to subscribe to the paid Services and contact Reveal to sign an Order Form, detailing the features made available and the associated price for the Services. The Customer will pay the fees specified in the Order Form (the “Fees”).
Paid Services. A Party may terminate the Contract in accordance with the renewal provisions of the Order Form. If not specified in the Order Form, either Party can terminate the Contract by providing a written Notice to the other Party of termination, forty-five (45) days prior to the end of the current Term.
Paid Services. Certain of our Services may be subject to payments now or in the future (the “Paid Services”). We do not currently offer any paid services. In the future, please note that any payment terms presented to you in the process of using or signing up for a Paid Service are deemed part of these Terms.
Paid Services. Certain portions of the Services may be, in FinTech Studios’ sole discretion, free of charge while other features or contents may require a subscription or upfront payment. A subscription may be purchased for individuals or for organizations online or via email to xxxxx@XxxXxxxXxxxxxx.xxx or through a FinTech Studios Partner. Except as stated in a separate agreement between FinTech Studios and you or your Company, subscriptions are subject to recurring billing. You authorize us to automatically bill your payment method (e.g. credit card) and auto-renew the subscription term to avoid interruption to your Services. FinTech Studios will indicate for each Service the applicable renewal and payment intervals. In each case, billing for the full amount will occur on the first day of the chosen subscription period. Each renewal term will be consistent with the initial applicable subscription term. You may cancel the subscription renewal by giving FinTech Studios an advance written notice sixty (60) days prior to the scheduled renewal date. Notwithstanding cancellation of a subscription, you agree to continue to pay us the applicable fees through the end of the applicable subscription period. Subscription fees are non-cancellable and non-refundable. Failure to pay the subscription fees may result in the termination of your subscription.
Paid Services. You acknowledge and agree that you shall be responsible for paying all fees due for the paid version of the Service, as set forth on the applicable order between you and SigOpt (each, an “Order”). The terms and conditions of each Order are incorporated by reference herein and you agree to comply with the terms and conditions of an Order. In the event of any conflict between the terms and conditions of this Agreement and an Order, the terms and conditions of this Agreement shall control. SigOpt reserves the right to immediately suspend your access to the paid version of the Service if you exceed your monthly usage allocations.
Paid Services. The use of certain Services may be subject to payment of particular fees, as determined by us in our sole and absolute discretion ("Paid Services" and "Fee(s)", respectively). DPM will provide notice of such Fees that are then in effect in relation to such Paid Services. If you wish to receive or use such Paid Services, you are required to pay all applicable Fees in advance. You acknowledge and agree that all Paid Services are non-refundable. DPM reserves the right to change its Fees at any time, and will notify you if such change will affect your existing subscriptions. If you received a discount or other promotional offer, DPM shall have the right to automatically renew your subscription at the then current subscription rate for Fees based on your package inclusions unless you have cancelled prior to the end of the promotional period. All Fees shall be deemed to be in U.S. Dollars, except as specifically stated otherwise in writing by DPM. To the extent permitted by law (and unless specified otherwise by DPM in writing), all Fees are exclusive of all taxes (including value added tax, sales tax, goods and services tax, etc.), levies or duties imposed by taxing authorities ("Taxes"), and you shall be responsible for payment of all applicable Taxes relating to your use of this Website and the Services, or to any payments or purchases made by you. If DPM is obligated to collect or pay Taxes for the Fees payable by you, and whether such Taxes were added and collected from you for previous transactions or not, such Taxes may be added to the payment of any outstanding Fees and will be reflected in the Invoice (as defined below) for such transaction. We recommend that you verify the existence of any additional fees you may be charged by third parties relating to the purchase of Paid Services or relating to the renewal thereof (such as international transaction fees, currency exchange fees or fees due to banks or credit card companies). DPM is not responsible for any such additional fees or costs. As part of registering or submitting information to receive Paid Services, you also authorize DPM (either directly or through its partners, subsidiaries or other third parties) to request and collect payment (or otherwise charge, refund or take any other billing actions) from our payment provider or your designated banking account, and to make any inquiries DPM or its partners may consider necessary to validate your designated payment account or financial information, t...
Paid Services. Subject to the terms and conditions of this Agreement, Qlik grants to Customer a non-exclusive, non- transferable, worldwide and non-sublicensable right during the term of this Agreement to use the Services for Customer’s internal business operations. Qlik further grants to Customer the right to allow Permitted Third Parties to use the Services solely in connection with Customer’s business relationship with the Permitted Third Party. Any use of Services during the Term shall be (i) in accordance with the Documentation, and (ii) limited to the maximum number of Authorized Users (by user type if applicable), capacity allotment and/or the maximum storage space specified on any Ordering Document (including any enhanced functionality or additional services, if available). Customer’s right to use the Services is subject to any use limitations that may be based on the version of the Services for which Customer registers as set forth in the Documentation and/or as set forth in the Ordering Document (collectively, the "Scope Limitations").
Paid Services. (a) The Company shall pay the Manager a management fee equal to one and one-half percent (1.5%) of gross revenues of the Company (the "Services Fee") for the performance by Manager of the Paid Services, and neither Manager nor any Affiliate of Manager shall be entitled to the payment of any other fees from the Company with respect to the Paid Services. The Company shall pay the Services Fee on a monthly basis, and the amount of each monthly installment of such fee shall be based on the gross revenues of the Company in the immediately preceding month. The Manager shall have the right to subcontract with an Affiliate of Manager, to provide the Paid Services to the Company. Notwithstanding the foregoing, the Manager shall be responsible, and neither the Company nor RMUSA shall be responsible, for (i) any costs or expenses of the Paid Services, and (ii) making any payments to providers of the Paid Services. Cemex, RMUSA and the Company acknowledge and agree that the Paid Services include and require the provision of substantive administrative and corporate support services (as enumerated in the definition of Paid Services) and not merely the procurement of such administrative and corporate support services from other unaffiliated parties; provided, however, that notwithstanding anything in this LLC Agreement to the contrary and for the avoidance of doubt (i) Paid Services shall not be deemed to include any non-administrative or non-corporate support services or functions (e.g., without limitation, legal and engineering services provided by non-affiliated third parties or transportation services regardless of whether provided by Affiliates or by third parties), notwithstanding that the administration or management of such function is a Paid Service and (ii) the cost and expense of any such non-administrative or non-corporate support services or functions (other than the costs of administrating or managing such service or function) shall be borne by the Company. For purposes of this Section 8.8, none of Cemex, RMUSA or any of their respective Affiliates shall be deemed to be Affiliates of the Company or any of its Subsidiaries.
