Overhead Services. Manager will provide all general and administrative overhead services required for the Owner to conduct their respective business and operations.
Overhead Services. Manager will provide all general and administrative overhead services and other general and administrative services to Company and its Subsidiaries, including, without limitation, using its commercially reasonable efforts, consistent with this Agreement, to provide support as reasonably requested by the Board and the Officers, in accordance with the terms and conditions of this Agreement, to enable the Board and Officers to fulfill their respective functions and duties to Company as contemplated by the Operating Agreement and the Delaware Limited Liability Company Act or any successor statute, including providing such reports as may be reasonably requested by the Board from time to time.
Overhead Services. It is understood that certain personnel of the Company will be working in office locations maintained by ACTV and, in connection therewith, will be using space and office furniture and equipment owned or leased by ACTV and will be furnished telephone, word processing, receptionist, filing and other related services by ACTV. In order to reimburse ACTV for the foregoing, the Company will pay to ACTV for each month in which it is using ACTV's office facilities a charge equal to the Company's pro rata share of the aggregate costs actually incurred by ACTV in connection with the maintenance and operation of such facilities and the provision of such services (including the costs of any occupancy or similar taxes). Such charge shall be payable within 30 days from the date of billing. It is the intent hereof that the Company shall reimburse ACTV for the cost, including indirect overhead costs (or reasonable rental value) of office space and equipment so utilized and telephone and other services so provided. The Company may request a review of the amount of the charge hereunder (or discontinuance of same if facilities and services of ACTV are no longer being utilized) by giving ACTV written notice of its desire for review (or discontinuance).
Overhead Services. Service Provider will provide all general and administrative overhead services required for Company to conduct its business and operations including with respect to owning and maintaining the Assets, participating as a non-operating working interest owner in operations and as an overriding royalty interest owner with respect to the Assets as applicable.
Overhead Services. Manager will provide, at its own cost, all general and administrative overhead services and other general and administrative services reasonably required by Company.

Overhead Services. Upon the reasonable advance request of Xxxxxxxxx, Buyer, subject to the applicable terms and conditions set forth in this Article X, will provide to each Service Recipient designated by Xxxxxxxxx such (i) accounting, audit support and tax services, (ii) employee payroll services and (iii) personnel services as are specifically requested by Xxxxxxxxx (collectively, the "Overhead Services"). Notwithstanding anything in this Article X to the contrary, Buyer shall be obligated to provide Overhead Services only to the extent such services are utilized by such Service Recipient solely in connection with its Local Content Radio Programming Business in one of more of the Second Tier Radio Markets or Third Tier Radio Markets.

Overhead Services. The Supplier or its nominee shall provide to the Company, upon the Company's request, intercompany overhead services (the "Overhead Services") as described, and according to the terms and conditions included, in Exhibit G attached hereto. The parties shall cooperate with each other to ensure appropriate coordination of such Overhead Services.
Overhead Services. Manager will provide ordinary and customary general and administrative overhead services associated with the administration of the Properties; provided, however, the Services provided by Manager under this Agreement shall not include arrangements or payment for insurance covering the Company’s interest in the Properties, bonding for drilling or other activity on the Properties.
