Operating Reports. Within five days after the end of each month, the Company will deliver to each of the Members, monthly reports generally summarizing the operations of the Company over the past month. All such reports may be in a form (including daily report formats) agreed by the Members. Each calendar quarter or in advance of each regularly scheduled Board meeting, a more formal report will be provided to the Member Representatives containing such information as the Members may reasonably request.
Operating Reports. As soon as available and in any event within thirty days after the end of each fiscal quarter following the First Unit Operation Date, an operating report in the form set forth on Exhibit 17 hereto with respect to the Project for such quarterly period and for the portion of the Operating Year then ended, which report shall (i) correspond to the items and classifications and periods set forth in the applicable Operating Budget, (ii) show all Project Revenues, all O&M Expenses, the Operating Performance of the Project and a reasonably detailed accounting of the use of any amounts transferred from the Operating Account, (iii) be certified as complete and correct by an Authorized Officer of the Borrower, which certification shall also state that the O&M Expenses reflected therein complied with the requirements contained in Section 7.25 hereof, or, if any such certifications cannot be given, shall state in detail any necessary qualifications to such certifications and (iv) be in substantially the form of the pro forma Operating Report delivered in accordance with Section 4.1(s).
Operating Reports. SanDisk will have full access to any management or operation reports related to Flash Forward or Flash Forward’s business through the Y5 Operating Committee (as defined in the FF Operating Agreement). Management and operating reports related to Flash Forward or Flash Forward’s business as mutually agreed from time to time will be simultaneously made available in Japanese and English to each Party. Upon request, Toshiba employees will explain such reports to SanDisk’s employees and respond to questions from SanDisk’s employees, but Toshiba will not be responsible for SanDisk’s failure to understand such reports.
Operating Reports. During the term of this Agreement, Owner shall, within fourteen (14) days of issuance, furnish to Capital copies of any and all Facility-related reports, including the annual audit (if any).
Operating Reports. The Borrower shall prepare and ------------------ provide to the Lenders and Administrative Agent the following reports: (i) on a monthly basis by the 25th of each month and in connection with the delivery by the Borrower of any Invoice Disbursement Request, a report through the end of the prior month setting forth as to each Development Project (each well on an individual well by well basis), the actual vs. estimated cost breakdown (for all activities, including dry hole and completion activities) for such Development Project; (ii) on a monthly basis by the 25th of each month a cumulative report through the end of the prior month setting forth all amounts to be disbursed pursuant to Section 3.01 and Section 6.01(b), including a schedule identifying each category of payments identified as clauses (i) through (x)of Section 6.01(b), with a detailed schedule of all items in each such clause. (iii) such other information as the Lenders may reasonably request with respect to drilling, operation or property status matters, including notice of any material changes with regard to oil and gas prices received, contracts or production expenses or any material litigation affecting the operation of the Oil and Gas Properties of the Borrower.
Operating Reports. Deliver to the Administrative Agent and the Technical Agent, as soon as available, but in any event no later than twenty (20) days after the end of each calendar month occurring after the Economic Completion Date, in form and substance satisfactory to the Independent Engineer and the Technical Agent, a summary of operations for each such calendar month and a summary of the calendar year‑to‑date operations, in each case including comparisons to the Development Plan and any then‑applicable Annual Budget and Operating Plan, as appropriate, including information in reasonable detail concerning: (i) Mine production during such month, (ii) Hedge Agreements in effect during such month and any deliveries or payments made thereunder, (iii) any adjustments made to any pricing formula or component thereof in any Hedge Agreement during such month, (iv) the Borrower’s inventory of Refined Gold and other Saleable Product at the end of such month, (v) Project Revenues generated during such month, (vi) Operating Costs during such month, (vii) any Capital Expenditures during such month, (viii) the Borrower’s most recent cash planning forecast by month covering at least the next six (6) months, (ix) any material developments during such month in Mine operations which have had or could reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect, (x) a description of compliance and noncompliance with Project Approvals and Agreement Approvals, (xi) without duplication of any of the foregoing, a description of any material defects or material malfunctions at the Mine and factors affecting actual or expected Operating Costs and Project Revenues, (xii) any material deviation in the production of Saleable Product from projections for such month contained in the Financial Model, (xiii) estimates of Operating Costs and Capital Expenditures for the remainder of the Fiscal Year and an explanation of any material variation from the Operating Costs and Capital Expenditures contained in the Annual Budget and Operating Plan and (xiv) the managerial (including staffing, safety and environmental) performance of the Project during such month.
Operating Reports. During the period commencing from the date of Project Completion and ending on the Final Termination Date, the Borrower shall (or shall procure that KKM shall) deliver no later than the one month after the end of each successive six months falling during such period to the Facility Agent copies (in sufficient copies for itself and each of the Independent Engineer and each Lender) of an operating report signed by an Authorised Signatory of the Borrower and covering that six month period in form and substance reasonably satisfactory to the Facility Agent and which shall contain, inter alia, the following information: (i) a summary of operations for the six month period to which such operating report relates; (ii) except as previously disclosed in writing to the Facility Agent, details of any material claims, disputes or other proceedings with which any of the Obligors was involved during the six month period to which such operating report relates (including any material post- completion claims against contractors provided that if any such material claim, dispute or other proceedings is or are of an on-going nature, the Borrower shall, in each operating report, include an update on the status of such claim, dispute or proceedings; (iii) a comparison between actual results for the six month period to which such operating report relates and the projected results in the Cash Flow Forecast for such period and, if there is any significant difference between the actual results and the Cash Flow Forecast results, an explanation therefor; (iv) details of the actual level of production from the Project Facilities and details of all Gross Revenues generated during the six month period to which such operating report relates including details of the total quantity and value of Hydrocarbons lifted and sold during such period; (v) details of any overhaul or other material maintenance of the Project Facilities conducted during the six month period to which such operating report relates, or planned for the next succeeding six month period including details of any significant matters having occurred, or anticipated (as the case may be) in relation to the operation and/or maintenance of the Project Facilities during such six month period; (vi) any material defects or material malfunctions of the Project Facilities during the six month period to which such operating report relates which are likely to have a material adverse effect together with summary details of the action bei...
Operating Reports. A. PMA shall provide the Client with standard system reports on a regular basis for all services provided pursuant to this Agreement. Standard system reports include a compilation of customer order information and monthly sales and tax reports upon written request from the Client. B. If special reports not provided as part of the standard reporting system are required, the Client shall pay PMA for any programming expenses incurred. PMA shall provide the Client with a written estimate of expected programming charges and obtain written authorization from the Client for such modifications before proceeding with the programming development of special reports.
Operating Reports. As soon as available but in no event more than 20 days after the end of each fiscal quarter after the earlier of the date of Completion or Start-up of Commercial Production, a summary of such month’s or such fiscal quarter’s operations and a summary of the fiscal year-to-date operations in a form agreed to by the Borrower and the Administrative Agent, in each case compared to the budgets and forecasts delivered pursuant to clause (h) above, including information in reasonable detail concerning (i) Project production and shipment of Project production during such period and variations from the related projections for such period reflected in the Financial Model, (ii) the Borrower’s inventory of product at the end of such period, (iii) revenues generated during such period from the sale of product, (iv) Operating Costs during such period as compared to the Financial Model, (v) costs constituting Capital Expenditures during such period as compared to the Construction Schedule and Capital Spending Plan, (vi) the Borrower’s most recent cash planning forecast covering at least the next following month or fiscal quarter, as the case may be, and (vii) any material developments during such period in Project operation, including material technical problems, discovery of any material defects in the physical facilities of the Project, material interruptions to operation or material labor difficulties.
Operating Reports. Monthly (from October 1996 until the latest available month end prior to Closing) unaudited statements of operation relating to the operations of the Facilities prepared in the ordinary course of business (the "OPERATING REPORTS"), which shall be delivered to the Purchaser as soon as practical after such reports are prepared, and the Seller's 1997 budgets for each of the Facilities prepared in the ordinary course of business.
