Object Code License. Subject to the terms of this License Agreement, ------------------- each party (the "Licensor") hereby grants to the other (the "Licensee"), a world-wide, nontransferable, nonexclusive, royalty-bearing license under all the Licensor's Intellectual Property to use, copy, distribute, display and perform the Licensor's Licensed Products, including but not limited to the right to sublicense the Licensor's Licensed Products to the Licensee's affiliates, or sublicense or distribute the Licensor's Licensed Products through multiple layers of distribution on a stand-alone basis or as integrated or bundled with their own products or technology or the products or technology of others. Each Licensee may sublicense the Licensor's Licensed Products by permitting bona fide distributors and resellers to sell user licenses for the Licensor's Licensed Products, by permitting duplication and distribution of the Licensor's Licensed Products by OEMs, and by permitting users to duplicate the Licensor's Licensed Products in connection with site licenses and similar transactions, provided that each sublicense is made only pursuant to a valid sublicense agreement that provides substantially similar protections to Licensor as Licensor's standard license agreement. Each Licensee shall consult in advance with its respective Licensor in the event that it wishes to enter into site licenses, OEM License Agreements or other arrangements or license agreements that provide for unlimited numbers of seats of the Licensor's Licensed Products to be distributed or sold for a single price or otherwise allow any third party to create copies of the Licensor's Licensed Products, and shall not enter into any such arrangements without the Licensor's concurrence, which concurrence will not be unreasonably withheld or delayed. Failure to object to any request for concurrence for such arrangement within ten (10) business days of such request shall be deemed concurrence. Licensee may modify and may authorize its licensees to modify the documentation for the Licensor's Licensed Products and distribute such modified documentation with the Licensor's Licensed Products, provided that each party or its licensees must retain all the other party's copyright, trademark and similar notices in such documentation, provided that notwithstanding the terms of this Agreement, Licensor shall have no liability to Licensee or any third party with respect to any such modified documentation.
Object Code License. 2.1 Licensor hereby grants to Dell a non-exclusive, worldwide, and, subject to Section 9, below, irrevocable right and license, under all copyrights, patents, patent applications, trade secrets and other necessary intellectual property rights, to: (i) use, make, execute, reproduce, display, perform, the Licensed Product(s), in object code form, (ii) distribute and license, the Licensed Product(s), in object code form, as part of, in conjunction with, or for use with, Dell systems and (iii) authorize, and license third parties to do any, some or all of the foregoing. Dell shall have the option to distribute the Licensed Product(s) to end users pursuant to Licensor's end user license agreement
Object Code License. Be Free hereby grants to GeoCities a non exclusive, worldwide license of Be Free's intellectual property rights in the Object Code for the term of this Agreement to perform or have performed the services contemplated to be provided by Be Free under Section 2 of the Agreement; provided, however, GeoCities pays [**] the amounts otherwise payable by GeoCities pursuant to Section 5. Be Free shall provide customary software maintenance services in accordance with general industry standards free of charge with respect to the Object Code during the term of this license."
Object Code License. Subject to Samsung’s compliance with the terms and conditions of this Agreement, Immersion Ireland grants to Samsung a royalty-bearing, worldwide, non-exclusive, non-sublicenseable (except for subsection (iii) below), non-transferable, and non-assignable license during the Term: (i) to copy and use and access the Immersion TouchSense/Integrator Solutions (in object code form) and incorporate and install such copy into Licensed TouchSense Devices; (ii) distribute, sell, offer to sell, import, and export such copy of the Immersion TouchSense/Integrator Solutions, directly or indirectly through distributors, resellers and/or agents, solely as incorporated in a Licensed TouchSense Device, to an end user customer for use by such end user customer; and (iii) to sublicense the rights granted in (i) to third parties solely for the purpose of exercising Samsung’s rights under (i) above. With respect to Intellectual Property Rights, the foregoing license includes the right, only under Immersion Intellectual Property Rights covering inventions embodied in the unmodified Immersion TouchSense/Integrator Solutions, for Samsung to undertake the acts set forth in (i) and (ii) above solely with respect to the Immersion TouchSense/Integrator Solutions as incorporated in a Licensed TouchSense Device.
Object Code License. Company hereby grants to Microsoft a perpetual, nonexclusive, worldwide, irrevocable, [*] license: (i) to make, use, and copy the Product in object code form only; (ii) to reproduce, license, sell, rent, lease or otherwise distribute, and have reproduced, licensed, sold, rented, leased or otherwise distributed, to and by third parties, copies of the Product in object code form as part of any MS Tool Product; and (iii) to sublicense the rights in the foregoing parts (i) and (ii) to third parties, including the right to grant further sublicenses to third parties. Microsoft shall not license or grant third parties the right to license the Product on a standalone basis. The foregoing license grants include a license under any current and future patents owned or licensable by Company to the extent necessary: (i) to exercise any license right granted herein; and (ii) to combine the Product with any hardware and software.
Object Code License. 7.1.1 Except to the extent covered by a separate software license agreement executed in writing between the parties, [***] , Supplier grants to Motorola [***] license [***] , to use, make, reproduce, demonstrate, create Derivative Works of, market, sublicense and/or otherwise distribute Documentation and Object Code incorporated into Products
Object Code License. Supplier grants to Motorola and its third party contractors a perpetual, irrevocable, worldwide, non-exclusive, fully paid up license, with right of sublicense, to use, make, reproduce, demonstrate, create Derivative Works, market, and/or otherwise distribute Documentation and Object Code incorporated into a Product or as a stand alone accessory; and to grant End Users the limited right to use the Documentation and Object Code; in each case to the extent necessary to use or support the Products sold under this Agreement and for no other purpose. All rights granted to End Users shall survive termination or alteration of this Agreement. CONFIDENTIAL PROPRIETARY THE SECURITIES AND EXCHANGE COMMISSION HAS GRANTED CONFIDENTIAL TREATMENT WITH RESPECT TO THE OMITTED PORTIONS OF THIS AGREEMENT.
Object Code License. Subject to the terms and conditions of this Agreement, MSTR hereby grants to SDC a nonexclusive, nontransferable, royalty-free license, without right of sublicense except as set forth in Section 2.3 below, to make, use, and provide access to the Software (in machine-executable object code form only) only for use within SDC's normal business operations to support and operate the Services and for SDC's internal business intelligence needs.
Object Code License. Seller hereby grants to Purchaser a non-exclusive, worldwide, royalty free, fully paid up, non-terminable, irrevocable, perpetual, assignable (but solely in connection with a sale of all or substantially all of Purchaser’s assets that relate to the Transferred Intellectual Property), sublicenseable license to all Object Code compiled from the Licensed Source Code set forth on Exhibit B (“Licensed Object Code”) for purposes of reproducing, having reproduced, performing, modifying, displaying and distributing all such Object Code. Purchaser agrees that, at such time as such Object Code is distributed with Purchaser’s products and services, Purchaser agrees to include in the applicable license agreement a notice that certain portions of such products and services may include intellectual property from Seller.
Object Code License. Annuncio hereby grants Netscape a worldwide, perpetual, nonexclusive, non-sublicensable, royalty-free license to use, reproduce, perform and display the Software, in Object Code form, and the Documentation, in connection with marketing and/or other services on behalf of Netscape and/or third parties.
