Nonconforming Materials. Seller shall not make decisions to accept nonconforming items detected at the Sellers premises as the Seller does not have material review board authority (see exception). Material which fails to meet the requirements and/or specifications referenced on the Purchase Order shall not be shipped without prior written approval by STRATA-G. A copy of the approval shall be enclosed with each shipment made against the Purchase Order. If Seller has, convincing reason(s) for use as is or repair disposition, Seller shall report the nonconformity to STRATA-G Quality Assurance, through the applicable STRATA-G Purchasing Representative, and provide controls for the identification, documentation, and segregation of the nonconforming item until STRATA-G evaluates the proposed disposition and provides such disposition to the Seller. Exception: If the Seller is a sole source manufacturer of a proprietary product, the Seller may retain material review board authority for their proprietary product, however; the Seller must provide written notification of changes to drawings, processes, materials, and procedures to the Buyer prior to delivery of the product.
Nonconforming Materials. Unipath shall not use any packaging or other Product materials that do not comply with the Specifications or Laws. Unipath shall promptly contact Warner-Lambert, c/o Warner-Lambert's Quality Assurance Department or xxxx xxxxx xxrsons xx xxxxxxxxxxx xs Warner-Lambert may instruct, in the event that Unipath anticipates mxxxxx xxxxxxx to any such material or in the event Unipath considers any such material to be nonconforming or unacceptable. If Unipath uses any non-conforming Product material without prior written approval by Warner-Lambert, Unipath shall be responsible for all losses, costs axx xxxxxxxx xxffered or incurred by Warner-Lambert as a result of such use and any expenses incurred by Xxxxxxx xx xxx correction thereof regardless of any involvement Warner-Lambert may have had in connection with such material includixx xxxxxxxxx xr purchasing Product materials or designating approved suppliers; PROVIDED THAT, except for visually observable defects, Unipath shall have no responsibility for any non-conformity of Product materials at the time received by Unipath.
Nonconforming Materials. Upon notification from Illumina, CareDx will take action to contain potentially nonconforming materials pending further instruction from Illumina. All affected materials shall be segregated and quarantined, physically and in any inventory management system used by CareDx, until instructions concerning its disposition are provided by Illumina in writing. In the event that CareDx identifies a nonconformance that may impact a Supplied Product, CareDx will contain any potentially impacted materials and obtain material disposition approval in writing from Illumina prior to releasing the Supplied Product. CareDx and Illumina will reasonably cooperate in performing investigations or needed corrections and/or corrective actions with respect to the material. The costs of such segregation and quarantine will be at Illumina’s sole cost and expense (after prior written approval of such costs is obtained from Illumina which upon, such approval, CareDx will perform its obligations under this section) except to the extent that any non-conformance is caused by one or more of the exceptions to the warranty coverage set forth in Section (h)(iii) of Exhibit B. Control of Changes. CareDx shall promptly notify Illumina, via email at [...***...], of any significant changes that may reasonably impact its business involving Supplied Products. The notice shall include specifics about the change, how the change arose, and the anticipated impact to the Supplied Product or business. CareDx will reasonably cooperate with Illumina by providing requested information related to the change as soon reasonably practicable. Events subject to notice under this provision include, but are not limited to:
Nonconforming Materials. The quality assurance organization shall monitor Manufacturer's system for controlling nonconforming materials. The system shall include procedures for identification, segregation, and disposition.
Nonconforming Materials. Paddock shall not use any Active Ingredient or Materials that do not comply with the Specifications. Paddock shall promptly contact Axcan Pharma, c/o Axcan. Pharma’s Quality Assurance Department or such other persons or departments as Axcan Pharma may instruct (in writing pursuant to the provisions of paragraph 13.1 hereof), in the event that Paddock anticipates making changes to any Material or in the event Paddock considers any Active Ingredient or Material to be nonconforming or unacceptable. If Paddock uses any non-conforming Active Ingredient or Material without prior written approval by Axcan Pharma, Paddock shall be responsible for all losses, costs and expenses suffered or incurred by Axcan Pharma as a result of such use and any expenses incurred by Axcan Pharma in the correction thereof The foregoing shall apply regardless of whether Axcan Pharma designated the supplier providing the non-conforming Active Ingredient or Material.
Nonconforming Materials. The Supplier warrants all goods delivered under the purchase order to be free from defects in material and workmanship. The supplier agrees to notify in writing DICI of any identified nonconforming. The supplier agrees to repair, replace or otherwise correct any problem with the delivered item.
Nonconforming Materials. If Executone or Unistar discovers that any part of the Work Product supplied by CWH hereunder fails to conform to the warranties set forth in Section 12, then CWH will, at no cost to Executone or Unistar, promptly replace or modify any such nonconforming Work Product so that it conforms to the above warranties. The cost of transporting repaired or modified Work Product will be borne by CWH. The repaired or modified item will be covered by the warranty given above, and nonconforming conditions will be subject to this remedy. Nothing in this section will be deemed to prohibit Executone, Unistar or CWH from exercising its rights to recover any and all damages suffered as a result of the breach of warranty.
Nonconforming Materials. If any Waste Materials are discovered to be of the type that cannot be handled, stored, treated, processed, recycled or disposed of as anticipated by this Agreement, such Waste Materials shall be considered Nonconforming Materials. Recycler shall not be responsible for handling, transportation, storage, treatment, processing, recycling, or disposal of Nonconforming Materials. Also, if the nature of the Waste Materials will significantly increase the cost of performing the services or the Waste Materials are determined now or hereafter to be defined as a hazardous waste under any applicable local, state, or federal statute, law or regulation promulgated thereunder, then the Waste Materials will be considered “Nonconforming Materials”.
Nonconforming Materials. When supplies of raw materials, intermediates or finished Products are found not to be in compliance with the specifications applicable to such materials, they shall be identified as nonconforming and segregated from normal production channels. Manufacturer shall initiate and maintain records for each such action to correct the condition. Records shall also reflect the disposition action taken, signatures of authorizing personnel, and evidence of compliance with the disposition. Suitable withholding areas and other necessary controls shall be utilized to preclude the use of nonconforming supplies in the end Product and their unauthorized delivery to Ciba or other designated destinations. Discrepant materials must be put in a locked cage and physically separated from conforming materials. Disposition of nonconforming materials and Products shall be in accordance with Military Specification MIL-STD-1520C and Ciba's instructions. All costs of handling and/or disposing of Ciba Supplied Materials which are defective at the time of receipt shall be paid for by Ciba, and accordingly Ciba shall reimburse Manufacturer for any of such costs which Manufacturer may have incurred.
Nonconforming Materials. NEOSYSTEM shall not knowingly use any ----------------------- packaging or other PRODUCT materials that do not comply with the SPECIFICATIONS, cGMP or applicable legal requirements. NEOSYSTEM shall promptly contact ESPERION in the event that NEOSYSTEM anticipates making changes to any such material or in the event NEOSYSTEM considers any such material to be non-conforming or unacceptable. If NEOSYSTEM uses any nonconforming PRODUCT material without prior written approval by ESPERION, NEOSYSTEM shall be responsible for all losses, costs and expenses suffered or incurred by ESPERION as a result of such use and any expenses incurred by NEOSYSTEM in the correction thereof The foregoing shall apply regardless of any involvement ESPERION may have had in connection with such material including supplying or purchasing PRODUCT materials or designating approved NEOSYSTEM's.
