No Relationship Created. Contractor asserts and agrees that Contractor is an independent contractor and not an officer, agent, servant or employee of the City. Contractor has exclusive control over the details of the activity, and is responsible for the acts and omissions of its officers, agents, employees, contractors, subcontractors and consultants. The doctrine of respondeat superior does not apply as between City and Contractor, its officers, agents, employees, contractors, subcontractors and consultants. Further, this Agreement does not create a partnership or joint enterprise between City and Contractor.
No Relationship Created. The Parties agree and acknowledge that no Party is an agent of any other Party under this Agreement and that each Party is responsible for its own acts, forbearance, negligence, and deeds, and for those of its agents or employees. The purposes for which each Party has entered into this Agreement are separate and distinct. It is not the intent of any of the Parties that a joint enterprise relationship is being entered into and the Parties hereto specifically disclaim such relationship.

Nothing contained in this Agreement shall be deemed or construed to create any partnership or joint venture between Grace and GCP, nor shall the execution, completion and implementation of this Agreement confer on either party any power to bind or impose any obligations on the other party or any third parties or to pledge the credit of the other party.

Nothing contained in this Agreement is intended to, or shall be construed in any manner, as creating or establishing the relationship of employer/employee between the parties. The Awardee shall at all times remain independent of the City with respect to this Agreement. The City shall be exempt from payment of all unemployment compensation, worker’s compensation benefits, FICA, retirement, life and/or medical insurance and Workers’ Compensation insurance, as the Awardee is operating independently from the City. The City and Awardee are not partners and this Agreement does not create a partnership.

The parties hereto agree (i) that Representative is neither an agent nor an employee of Principal and may not be construed as such by reason of this Agreement and (ii) that Principal is not an agent or employee of Representative.
No Relationship Created. This Agreement may not be amended, transferred or assigned without the advance written consent of both Parties, which either party may withhold in its sole discretion.
