Network Responsibilities. The diagram below shows those hardware components, network components (excluding the internet), and the software that resides on those components that are owned from a service level perspective by NAVITAIRE and those items that are owned by Customer. SunGard K-12 Education’s responsibility for network communication terminates at the WAN connection on the router at SunGard K-12 Education’s location, and excludes the leased line, Client routers and local computing infrastructure and Personal Computers at the Client site. SunGard K-12 Education will assume responsibility for the purchase, configuration, installation, and management of the data communications equipment hosted at SunGard K-12 Education’s facility and will hold title to same.

Planned Downtime is scheduled every week at a time that is agreeable for NAVITAIRE and the Customer. NAVITAIRE will notify the Customer by 12pm (noon) at Customer’s headquarters the day prior to the scheduled event if the time is not needed for Change Control purposes (i.e., every Thursday from 2pm-6pm MT is an established time for Change Control). A network services diagram will be drafted as part of the Implementation Services project that illustrates the hardware components, network components, and the software that resides on those components that are owned from a service level perspective by NAVITAIRE and those items that are owned by the Customer. This diagram will reflect the services to be provided by NAVITAIRE as mutually agreed by the parties and as included in this Hosted Services Agreement. The network diagram will be used by the support organizations of both parties and updated as necessary during the term of this Agreement.

Network Responsibilities. Network shall perform the Marketing Commitment set forth on Part D, and shall market and promote the Service to prospective Service Subscribers in the Territory. DISH agrees to permit Network to use DISH’s trademarks to market the Service to Service Subscribers and potential Service Subscribers; provided that any such use is subject to DISH’s prior approval in each instance, which approval shall not be unreasonably withheld. DISH’s approval shall be deemed to have been withheld if not specifically given. Network acknowledges and agrees that the name, trade name and service xxxx ‘DISH Network®’ and any and all other names, trade names, service marks and trademarks of DISH and its Affiliates are the exclusive property of DISH and its Affiliates and that Network has not and will not acquire any proprietary rights therein by operation of this Agreement or otherwise.
Network Responsibilities. Client agrees that XxxxxxXxxxxx.Xxx will have sole responsibility for developing, repairing, and maintaining Client’s current and proposed Network, its components and all items associated or attached to such equipment. That any new network associated equipment will fall within these same parameters, whether provided by XxxxxxXxxxxx.Xxx or outside resources. Furthermore, Client agrees not to attempt, by virtue of self, existing employees, new employees, agents, hires, or consultants, any adds, moves, or changes to or in regard to existing or to new components associated with existing or any proposed network items during the term of this Contract, unless written permission is provided by XxxxxxXxxxxx.Xxx prior to any execution. Violation of this provision shall, in addition to other relief, require the Client to compensate XxxxxxXxxxxx.Xxx with a fee equal to150 percent of the annual fee associated with this contract and any attorney or court fees associated with the collection thereof.
