Net Price. The final price paid by the Customer after applying all MSRP discounts and MSRP Credits. The Net Price for Base Equipment, OEM and Non-OEM Option(s), Part(s), Accessory(ies), and Implement(s); and their respective features, equipment, and components shall include all charges for the Commodity, including but not limited to packing, handling, freight, distribution, transportation, startup, pre-delivery, delivery, inspection, installation, construction, assembly, title, and registration. Additional charges for a Commodity shall not be charged outside of the Net Price unless expressly provided within the Scope of Work. Non-OEM – Produced by a manufacturer or party other than the OEM. Options – Options requested by the Customer specifically for the Agriculture and Lawn Base Equipment which meet the requirements, specifications, terms, and conditions herein, and may be installed to, uninstalled from, or provided with or separately from the Base Equipment by the Manufacturer or Dealer, as specified, ordered, legal, customary, reasonable, and prudent in the industry. Original Equipment Manufacturer (OEM) – The original Manufacturer of a Commodity. Parts – Repair or service parts for Base Equipment which meet the requirements, specifications, terms, and conditions herein, and may be installed to, uninstalled from, or provided with or separately from the Base Equipment by the Manufacturer or Dealer, as specified, ordered, legal, customary, reasonable, and prudent in the industry. Sub-Group – A specific series of Commodities within a Group which are described in the Product Group Discount Sheet. A Group may or may not include Sub-Groups. State – The State of Florida.

Net Price. All charges or amounts referred to in the Lease Agreement or in these obligations pursuant to these General Terms and Conditions (including but General Terms and Conditions, including any out-of-court costs, are not limited to Article 6). The Lessee shall provide a copy of the proof of insurance to Energyst at Energyst’s earliest request. The insurance must be valid for the entire term of the lease. Energyst has the right to require the other Party to include Energyst as the beneficiary under the insurance contract and to provide Energyst with confirmation of the cover in that regard.
Net Price. Exhibit A sets forth the list price and associated discount used to calculate net price (“Net Price”) for each of the Products to be accessed by the Committed Greenhealth Exchange Participants. If the agreed upon annual purchase amount is achieved, then the list price will remain. If the annual purchase amount is not achieved, the price will increase by one list price date. Until this Agreement is signed, the price of any product sold to Buyer by Seller will be based upon the price for the products specified in the Seller's current published catalogs in effect at the time of Seller's receipt of purchase order for the product. Once this Agreement is signed, price protection applies as follows: If purchases are equal to or greater than $15,000,000 net combined for years one, two and three, then price protection will continue using the list price dated June 1, 2015. If purchases meet or exceed $7,500,000 net in year four alone, then price protection will continue using the list price dated June 1, 2015. If purchases are less than $10,000,000 net for year five alone, then one price increase will be applied to the contract Trade-in Allowances Seller or seller’s authorized distributor shall grant Committed Greenhealth Exchange Participants trade-in allowances applied to the purchase or lease of the Product(s) listed in Exhibit A. The reasonable value of such allowances shall be based on the commercially reasonable value of the model, age, condition and volume of trade-in items. Further, all discounts provided for in this Agreement and any special discounts, including without limitation large order discounts, luminary/demonstration site discounts and research discounts, shall be calculated before any trade-in allowance has been credited against the purchase price of Product(s). Any additional service charges such as inventory costs, labor, etc will be separately negotiated prior to the start of a trade-in or leasing project.
