Nasdaq Notification. Prior to the Effective Time, FNB shall file with the National Association of Securities Dealers such notifications and other materials (and shall pay such fees) as shall be required for the listing on NASDAQ of the shares of FNB Stock to be issued to Integrity’s shareholders pursuant to the Merger.
Nasdaq Notification. Within ten (10) days of the Closing Date, the Company shall file with The Nasdaq Stock Market a Shares Outstanding Change Notification reflecting the increase in the number of shares outstanding resulting from the transactions contemplated hereby.
Nasdaq Notification. The NASDAQ Listing Application shall have been approved.
Nasdaq Notification. The Company has notified Nasdaq of the issuance and listing of the Common Shares and Warrant Shares on Nasdaq and the Common Shares and Warrant Shares have been approved for quotation on Nasdaq, upon official notice of issuance.
Nasdaq Notification. The Company has provided the applicable listing of additional shares notification to NASDAQ, and received oral confirmation from NASDAQ that the listing of additional shares review process has been completed, and NASDAQ has not made any objection (not subsequently withdrawn) that the consummation of the transactions contemplated by this Agreement would violate NASDAQ listing rules applicable to the Company and that if not withdrawn would result in the delisting of the shares of Common Stock issuable upon the conversion of the Preferred Stock issued to the Investors pursuant to this Agreement and pursuant to the Certificate of Designations.
Nasdaq Notification. (i) The Nasdaq Listing Application shall have been approved, and (ii) the Public Company Common Shares to be issued pursuant to the Share Issuance shall have been approved for listing (subject to official notice of issuance) on Nasdaq.
Nasdaq Notification. In connection with the execution of this Agreement, the Company shall file with Nasdaq an amendment to the Listing of Additional Shares notification previously filed in respect of the Executed SPA, to the extent any such amendment is required in connection with the issuance of the Purchased Shares.
Nasdaq Notification. MEDY will file a notification with the Nasdaq SmallCap Market for the issuance of the shares of MEDY Common Stock to be issued in the Merger.
Nasdaq Notification. Promptly following the execution of this Agreement, the Company shall file with Nasdaq a Listing of Additional Shares notification applicable to the issuance and sale of the Purchased Shares pursuant to this Agreement.
Nasdaq Notification. (i) The existing Public Company Common Stock has been listed on Nasdaq as of and from the date of this Agreement through the Closing Date and (ii) the Nasdaq Listing Application shall have been approved, and (iii) the shares of the Public Company Common Stock to be issued in the Merger pursuant to this Agreement, upon the exercise of Adjusted Warrants and Merger Partner Stock Options shall have been approved for listing (subject to official notice of issuance) on Nasdaq.
