The Nasdaq Filing clause requires a party, typically a company whose securities are listed or to be listed on the Nasdaq stock exchange, to make certain filings or notifications with Nasdaq in connection with a transaction or event. This may include submitting required forms, disclosing material agreements, or providing updates about changes in corporate structure or ownership. The clause ensures compliance with Nasdaq's listing rules and reporting obligations, thereby maintaining the company's good standing on the exchange and preventing regulatory issues.
Nasdaq Filing. Pursuant to Rule 4310(c)(17) of The Nasdaq Stock Market, Inc.'s Marketplace Rules, the Company shall have filed a form with The Nasdaq Stock Market, Inc. designated by The Nasdaq Stock Market, Inc. for the listing of the Underlying Shares with respect to the Call Shares not later than required by The Nasdaq Stock Market, Inc.
Nasdaq Filing. The Company shall have filed the Notification Form: Listing of Additional Shares if required, and shall have made any other filings that are required by the rules of the Nasdaq Stock Market to be made in connection with the sale of the Shares by the Company hereunder.

Such filing shall include a May 31, 1999, balance sheet with pro forma adjustments for any significant events or transactions occurring on or before the date of such report is filed.
