The Nasdaq Filing clause requires a party, typically a company whose securities are listed or to be listed on the Nasdaq stock exchange, to make certain filings or notifications with Nasdaq in connection with a transaction or event. This may include submitting required forms, disclosing material agreements, or providing updates about changes in corporate structure or ownership. Nasdaq Filing. Pursuant to Rule 4310(c)(17) of The Nasdaq Stock Market, Inc.'s Marketplace Rules, the Company shall have filed a form with The Nasdaq Stock Market, Inc. designated by The Nasdaq Stock Market, Inc. for the listing of the Underlying Shares with respect to the Call Shares not later than required by The Nasdaq Stock Market, Inc.
