Morality. In the event Customer or its agents become the subject of an indictment, contempt, scandal, crime of moral turpitude or similar event that would negatively impact or tarnish Flock’s reputation, Flock shall have the option to terminate this Agreement upon prior written notice to Customer.

Morality. PURCHASER may cancel the PRESENTER/CONTRACTING PARTY from the event upon written notice if PRESENTER/CONTRACTING PARTY is charged with any felonious crime of moral turpitude that a reasonable person would believe would bring the PRESENTER/CONTRACTING PARTY into general public disrepute, contempt, scandal or ridicule, or to shock, insult or offend the public and which a reasonable person would believe would have the effect of reflecting unfavorably upon the PURCHASER’s reputation if the engagement continues in the reasonable opinion of the PURCHASER. The PURCHASER’s decision to terminate hereunder must be exercised, if at all, no later than 90 days after the facts giving rise to such right are brought to the PURCHASER’s attention, but in no event later than the engagement date. Morality. Any serious acts of misconduct or moral turpitude by either the Consultant or the Company which might tend to bring the other into public disrepute, contempt, scandal, or ridicule including, but not limited to, acts of dishonesty, theft, fraud, misappropriation, or any act injuring, abusing, or endangering others shall be grounds for immediate termination of this Agreement by the non-breaching party and terminate any fee compensation owed after the Agreement termination date.
