Modifications to Definitions. Section 1.1 of the Loan Agreement is hereby amended by substituting the following definitions for those set forth therein for the same terms, and in the case of new definitions, by adding those new definitions to that Section 1.1:

For purposes of clause (b), "Compensation" means Compensation as defined in Section 1.11, except: (i) any exclusions from Compensation, other than the exclusion of elective contributions and the exclusions described in paragraphs (a), (b), and (c) and the first clause or paragraph (d) of Section 1.11, do not apply; and (ii) any modification to the definition of Compensation in Section 3.06 does not apply.
