Modification, Amendment, Etc. Each and every modification and amendment of this Agreement shall be in writing and signed by all of the parties hereto, and each and every waiver of, or consent to any departure from, any representation, warranty, covenant or other term or provision of this Agreement shall be in writing and signed by each affected party hereto.

No modification or amendment of any provision of this Agreement, the Note, or any of the other Cash Management Documents shall in any event be effective unless the same shall be in writing and signed by HL UK and OGC. No waiver or consent to any departure by a party hereto of any provision of this Agreement, the Note or any of the other Cash Management Documents shall in any event be effective unless the same shall be in writing and signed by the other party and then such waiver or consent shall be effective only in the specific instance and for the specific purpose for which given. No notice or demand on a party in any case shall entitle the other party to any other or further notice or demand in the same, similar or other circumstance.

Except as otherwise expressly provided in a particular Loan Instrument with respect thereto and except as otherwise provided or permitted under applicable law with respect to any UCC financing statement, modification, continuation or the like, each and every supplement or amendment to or modification or restatement of this Agreement or any other Loan Instrument (other than a UCC financing statement) shall be in writing and signed by all of the parties hereto or the respective parties thereto, as the case may be, and each and every waiver of, or consent to any departure from, any representation, warranty, covenant or other term or provision of this Agreement or any other Loan Instrument (other than a UCC financing statement) shall be in writing and signed by each affected party hereto or thereto, respectively.

Each and every supplement or amendment to or modification or restatement of this Agreement shall be in writing and signed by the parties Ambac Assurance Corporation Aggregate Excess of Loss Reinsurance Agreement hereto, and each and every waiver of, or consent to any departure from, any representation, warranty, covenant or other term or provision of this Agreement shall be in writing and signed by each of the parties hereto.

Except to the extent that the approval or signatures of all of the Banks is not required as provided below or in any other term or provision of this Agreement or any other Loan Instrument, each and every supplement or amendment to or modification or restatement of this Agreement or any other Loan Instrument shall be in writing and signed by the parties hereto or thereto, respectively, and each and every waiver of, or consent to any departure from, any representation, warranty, covenant or other term or provision of this Agreement or any other Loan Instrument shall be in writing and signed by the affected parties hereto or thereto, respectively; provided, however, that (a) the Administrative Agent (with the consent of the Requisite Banks, as and if required) may sign all waivers and consents on behalf of all of the Banks, and (b) the Requisite Banks may approve and sign (or authorize the Administrative Agent to sign) on behalf of all of the Banks certain waivers, supplements, modifications, amendments and restatements of this Agreement and the other Loan Instruments in accordance with Article IX hereof and the other applicable terms and provisions of this Agreement and the other Loan Instruments.
