Minimum Purchase Commitment. If Exhibit A provides for a minimum purchase commitment, Client will purchase the minimum amount of Services provided on Exhibit A or pay Laboratory the amount that Client would have paid if Client had abided by such minimum purchase commitment; provided, however, that any minimum purchase commitment will not apply and will be reduced proportionately during such times that Laboratory is unable to provide the Services for which such minimum commitment applies, and Client may terminate any minimum purchase commitment upon notice to Laboratory in the event of any unapproved fee increase to which Client objects.
Minimum Purchase Commitment. Notwithstanding anything to the contrary, Reliance agrees that it shall, between [***] purchase at least [***] from Vendor (the “Minimum Committed Quantity”) subject to Vendor’s continued conformance with the terms set forth in the Documents.
Minimum Purchase Commitment. Minimum Purchase Commitment. (a) First 48 Months. NLS agrees that NLS and its Affiliates shall purchase from Broadcom, at a minimum, the following percentages of their total aggregate annual requirements for each component which contains transmission or communication functions for digital cable subscriber products, including without limitation QAM modulators or demodulators and any components used in digital cable products which contain video decompression algorithms such as MPEG: [*****] Confidential portion has been filed separately with the Securities and Exchange Commission.
Minimum Purchase Commitment. Subject to the completion of Milestone 5 , as determined by the provisions of the Development Agreement with regard to the LSR Production Instruments pursuant to the Development Agreement, QTX agrees to exclusively purchase from STRATEC during the first seven (7) years after the delivery and final acceptance of the first LSR Validation Instrument a minimum quantity of [***] units of the Instruments.
Minimum Purchase Commitment. During each Contract Year hereunder, NxStage hereby agrees to purchase from PiSA and PiSA hereby agrees to sell to NxStage a quantity of Products constituting no less than the annual minimum number of units of Products as provided in Appendix A of this Agreement (“Minimum Purchase Commitment”). If it becomes evident, during any given Contract Year, that NxStage will not achieve the Minimum Purchase Commitment, NxStage shall promptly notify PiSA in writing and both parties shall meet in person or by phone to discuss in good faith acceptable solutions to the shortfall. Any acceptable solution shall be agreed to in writing. If the parties fail to reach a mutually acceptable solution following such good faith discussions, NxStage shall pay to PiSA an amount equal to [**] percent ([**]%) of the Unit Shortfall for the applicable Contract Year’s Minimum Purchase Commitment multiplied by the Product Purchase Price (as defined below) in force for that Contract Year.
Minimum Purchase Commitment. If Exhibit A to your Agreement provides for a minimum purchase commitment, you will purchase the minimum amount of services provided on Exhibit A or pay FormFox the amount that you would have paid if you had abided by such minimum purchase commitment; provided, however, that any minimum purchase commitment will not apply and will be reduced proportionately during such times that the services for which such minimum purchase commitment applies are not available, and you may terminate any minimum purchase commitment upon notice to FormFox in the event of any unapproved fee increase to which you object.
Minimum Purchase Commitment. Siemens agrees to meet the following Creditable Revenue commitments (including sales by its Affiliates, resellers and distributors) during the Term of the Agreement throughout the world:
Minimum Purchase Commitment. During the term of this Agreement, Purchaser shall purchase minimum lot quantities of Products as set forth in Exhibit A attached hereto ("Minimum Purchase Commitment").
Minimum Purchase Commitment. During the Term, Distributor shall purchase an annual minimum amount, with reasonable Quarterly allocation, of Products (the "Minimum Purchase Commitment") for each of the geographic areas as stipulated in the individual schedules included under Exhibit C. If Distributor fails to meet the Minimum Purchase Commitment in any of the geographic areas, the parties shall jointly decide on corrective actions to be undertaken in each such area, and shall agree on a reasonable Minimum Purchase Commitment for the ensuing 6 months. If Distributor fails to meet said agreed upon 6-month Minimum Purchase Commitment, this shall constitute a material breach and basis for termination of distribution rights under Section 3.2, unless the sale of Products in such geographic area of the Territory is restricted by regulatory authority having jurisdiction over Products, or EndoSonics is unable to deliver Products by agreed upon delivery dates. For the purposes of this provision, a "purchase" of Products within the time period set forth in Exhibit C shall mean EndoSonics' shipment of such Products on or before the last day of each of such time periods.
