Master License. This Program Schedule is issued pursuant to the Master License identified above and the terms and conditions of the Master License are incorporated and made a part of this Program Schedule except as modified herein. This Program Schedule constitutes a separate License with respect to the Licensed Material(s) described herein. Capitalized terms used in this Program Schedule shall have the same meaning as defined in the Master License, unless otherwise stated.

Master License. Licensee may sublicense and/or subcontract the manufacture, sale and/or distribution of Licensed Goods, provided that (i) Licensee shall, directly or indirectly, participate with its sublicensee or otherwise be involved with its sublicensee in the manufacture and/or sale and/or distribution of such Licensed Goods and (ii) any sublicense shall be consistent with this license. However, Licensee shall not have the right to grant to third parties licenses relating to the Trademarks on any products other than Licensed Goods without the express written permission of Licensor, except pursuant to any other license agreement or other arrangement between the parties.

Master License. This Master License: (i) establishes the legal relationship and framework under which Licensee may apply to the SFPUC for and obtain a revocable, nonpossessory privilege to use the License Area identified in Pole Licenses issued under this Master License for the Permitted Use; (ii) governs the fees, charges, procedures, requirements, terms, and conditions by which the SFPUC will issue Pole License(s) to Licensee; and (iii) authorizes Licensee to engage in the Permitted Use only after Pole Licenses are issued under this Master License.

Master License. This Master License Agreement sets forth the basic terms and conditions upon which each Site or portion thereof is licensed by Licensor to Licensee. Upon the parties' agreement as to the particular terms of any such license, the parties shall execute a completed Site License Agreement, in the form attached hereto as Exhibit A, which is incorporated herein by this reference or in such other form as both parties may agree ("SLA"). The terms and conditions of any SLA shall govern and control in the event of a discrepancy or inconsistency with the terms and conditions of this Master License Agreement. Licensor does, upon the signing of a particular SLA, hereby represent that it shall, by reason of either fee ownership, lease, license or easement, have the right to, and hereby does grant a non-exclusive license to Licensee to install, maintain, replace and operate on the transmission towers, communication towers, or real property set forth in the SLA, the Communications Equipment as set forth in the SLA, subject to the terms and conditions set forth in this Master License Agreement. Licensor makes no representation or warranty, expressed or implied, regarding the suitability of the Tower for Licensee's purposes. In those circumstances where Licensor's rights to the Licensed Area are limited to easements or licenses permitting Licensor to install, operate and maintain an electric transmission system, Licensor shall notify Licensee in writing of any and all approvals, leases, rights, easements or permissions which must be obtained. Master License. { TC “Master License” \f C \l “3” }. Master License. This Agreement sets forth the basic terms and conditions upon which Nextel shall license antenna sites to Triton and upon which Triton shall license antenna sites to Nextel. For purposes of this Agreement, Licensor shall be either Triton or Nextel and Licensee shall be either Triton or Nextel as defined in the individual Site License. Upon the parties' agreement as to the particular terms of any such license, the parties shall execute and attach hereto a completed site license ("Site License") in the form attached hereto as Exhibit A which is incorporated herein by this reference. Master License. This License is subject to the Master License as well as all other covenants, conditions, restrictions, encumbrances, rights-of-way, easements, prescriptive rights, reservations, regulations (including those of the Lower Colorado River Authority or “LCRA”), mineral severances, overlapping of improvements, applicable governmental permits and orders and all other title exceptions but only to the extent the foregoing affect the License.

Master License. The Company hereby grants to the BigHub a Master License to the Back-end Processing Technology on a private label basis during the Term hereof, and appoints the BigHub as its Exclusive Worldwide Master Licensor of the Back-end Processing Technology on a private label basis. In this regard, BigHub shall have the exclusive worldwide right to sub-license to third parties the Back-end Processing Technology to create private labeling E-commerce opportunities, (collectively, the "License"). The Company and BigHub agree that the License shall commence on the Effective Date of this Agreement.

Master License. The terms of the Master License shall apply to this Site License and are incorporated herein by this reference. The definitions set forth in the Master License Agreement apply to the capitalized terms in this Site License unless a term is specifically defined in this Site License.
