Lawfulness. Grantee shall comply with all applicable laws, ordinances, and codes, including all applicable environmental regulations, and shall, at its own expense, secure all permits and licenses necessary to perform its duties and responsibilities under this Agreement.
Lawfulness. This Agreement and the parties' actions under this Agreement shall comply with all applicable federal, state, and local laws, rules, regulations, court orders, and governmental agency orders. If a court or a governmental agency with proper jurisdiction determines that this Agreement, or a provision of this Agreement, is unlawful, this Agreement, or the provision of this Agreement, shall terminate. If a provision of this Agreement is so terminated but the parties legally, commercially, and practicably can continue this Agreement without the terminated provision, the remainder of this Agreement shall continue in effect.
Lawfulness. Lawfulness. Where you act as a data controller of Customer Personal Data, you guarantee that all processing activities are lawful, have a specific purpose, and any required notices and consents or other appropriate legal basis are in place to enable lawful transfer of the Customer Personal Data. If you are a data processor (in which case we will act as a Subprocessor), you will ensure that the relevant data controller guarantees that the conditions listed in this Section 4.1 are met.
Lawfulness. This Agreement and the parties’ actions under this Agreement shall comply with all applicable federal, state, and local laws, rules, regulations, court orders, and governmental agency orders. This Agreement shall be governed by the laws of the state where Poles/Innerduct is provided. Nothing contained herein shall substitute for or be deemed a waiver of the parties’ respective rights and obligations under applicable federal, state and local laws, regulations and guidelines, including (without limitation) Section 224 of the Communications Act of 1934, as amended (47 U.S.C. 224). The CLEC represents that it is a certified Competitive Local Exchange Carrier or otherwise has the legal right, pursuant to 47 U.S.C. 224 to attach to Qwest’s pole pursuant to the terms thereof. The CLEC acknowledges that Qwest will rely on the foregoing representation, and that if such representation is not accurate, this Agreement shall be deemed void ab initio, except for Article 9 hereof, for which CLEC shall remain fully liable.
Lawfulness. This Agreement and the parties’ actions under this Agreement will comply with all applicable federal, state, and local laws, rules, regulations, court orders, governmental agency orders, and codes (“Applicable Laws”). CenturyLink will ensure that all materials used and installation performed by CenturyLink will comply with all Applicable Laws, including but not limited to, all applicable safety codes, electrical codes, fire codes, and building codes. CenturyLink will ensure that all Services are delivered to the Property in compliance with all Applicable Laws. Specifically, CenturyLink agrees that it will be responsible for complying with the Communications Assistance with Law Enforcement Act (“CALEA”) and Digital Millennium Copyright Act (“DMCA”) with respect to the Services delivered to the Property and provided to Residents. Referral Agent is responsible for compliance with all Applicable Laws, including CALEA and DMCA, if and to the extent CALEA and DMCA are applicable, with respect to any HSI Gratis Services that it receives from CenturyLink that Referral Agent uses to provide any complimentary services to Residents or guests at the Property, including, but not limited to, any unmanaged Wi-Fi access that Referral Agent makes available in common areas, lobbies, or a fitness center at the Property using HSI Gratis Services provided by CenturyLink. With respect to CALEA or DMCA compliance obligations, each party will provide reasonable assistance as reasonably requested by the other party as long as such requests do not require a party to reveal confidential information about the Residents and do not exceed that party’s obligations under applicable law. This section survives the expiration or earlier termination of this Agreement.
Lawfulness. The Data Controller expressly acknowledges and warrants that it has all necessary rights to provide the Personal Data to the Data Processor, and that one or more lawful bases set forth in EU Data Protection law support the lawfulness of the processing in relation to the Services. Unless another legal basis set forth in EU Data Protection law supports the lawfulness of the processing, the Data Controller shall undertake that any required Data Subjects’ consent to the processing is obtained and ensure that a record of such consents is maintained. Should such a consent be revoked by a data subject, the Data Controller is responsible for communicating the fact of such revocation to the Data Processor, and the Data Processor remains responsible for implementing the Data Controller’s instruction with respect to the processing of that Personal Data.
Lawfulness. 24.1. If BCR considers that the provision of the Banking Services, according to the Instructions received from the Customer, would result in breaching any applicable legal provisions, BCR shall be entitled not to execute such Instructions.
Lawfulness. If a court or a government agency with proper jurisdiction determines that this Agreement, or a provision of this Agreement is unlawful, or if CICI determines that this Agreement or provision of this Agreement is inconsistent with or contradictory to the law or other Agreements that CICI is obligated under, this Agreement, or that provision of this Agreement, shall terminate on written notice to MEMBER to that effect.
Lawfulness. No part of the Facility may be used for any purpose which would result in the provision of unlawful financial assistance or for any other unlawful purpose.
