Keeper. In the event the Collateral, or any part thereof, is seized as an incident to an action for the recognition or enforcement of this Mortgage by executory process, ordinary process, sequestration, writ of fieri facias or otherwise, the Mortgagor and the Mortgagee agree that the court issuing any such order shall, if petitioned for by Mortgagee, direct the applicable sheriff to appoint as a keeper of the Collateral, the Mortgagee or any agent designated by Mortgagee or any person named by Mortgagee at the time such seizure is effected. This designation is pursuant to Louisiana Revised Statutes 9:5136 through 5140.2, inclusive, as the same may be amended, and the Mortgagee shall be entitled to all the rights and benefits afforded thereunder. It is hereby agreed that the keeper shall be entitled to receive as compensation, in excess of its reasonable costs and expenses incurred in the administration or preservation of the Collateral, an amount equal to $250.00 per day, which shall be included as Indebtedness secured by this Mortgage. The designation of keeper made herein shall not be deemed to require the Mortgagee to provoke the appointment of such a keeper.
Keeper. Should any or all of the Collateral be seized as an incident to an action for the recognition or enforcement of this Agreement, by executory process, sequestration, attachment, writ of fieri facias or otherwise, the Debtor hereby agrees that the court issuing any such order shall, if requested by the Secured Party, appoint the Secured Party, or any agent designated by the Secured Party, or any person or entity named by the Secured Party at the time such seizure is requested, or any time thereafter, as Keeper of the Collateral. Such a Keeper shall be entitled to reasonable compensation. The Debtor agrees to pay the reasonable fees of such Keeper,
Keeper. The Mortgagee shall have the right to appoint a keeper of the Mortgaged Property pursuant to the terms and provisions of La. R.S. 9:5131 et seq. and 9:5136 et seq.
Keeper. If an Event of Default shall have occurred and be continuing, Agent, upon application to a court of competent jurisdiction, shall be entitled as a matter of strict right without regard to the occupancy or value of any security for the Secured Obligations secured hereby or the solvency of any party bound for its payment, to the appointment of a keeper to take possession of and to operate the Property (or such portion or portions as Agent may select) and to collect and apply the rents, issues, profits and revenues thereof. The keeper shall have all of the rights and powers permitted under the laws of the State of Louisiana, including, but not limited to, Louisiana Revised Statutes 9:5136 through 9:5140.2. Mortgagor will pay to Agent upon demand all reasonable expenses, including keeper’s fees, attorney’s fees, costs and agent’s compensation, incurred pursuant to the provisions of this Section 2.05, and all such expenses shall be secured by this Instrument.
Keeper. Each Borrower and the Agent designate the Agent or any agent or nominee of the Agent as keeper of the Collateral and also authorize the Agent to name another keeper of the Collateral or any portion thereof at the time of seizure in any action for the recognition or enforcement of this Agreement, but the Agent shall not be required to seek the appointment of a keeper. This Agreement is made pursuant to La. R.S. 9: Section 5136 ET SEQ., the provisions of which shall govern the powers and duties of the keeper. The keeper shall be paid as compensation for its services an amount equal to $500 per day. All sums paid by the Agent as keeper's fees and related costs and expenses, with interest thereon at the default rate specified above in SECTION 4.1(d), shall be Secured Obligations secured by this Agreement.

Keeper. Mortgagee may apply to any court of competent jurisdiction for, and obtain appointment of, a keeper for the Property or any part thereof, without notice to Mortgagor or anyone claiming under Mortgagor, and without regard to the then value of the Property or the adequacy of any security for the Secured Obligations, and Mortgagor hereby irrevocably consents to such appointment and waives notice of any application therefor. Any such keeper or keepers shall have all the usual powers and duties of keepers in like or similar cases and all the powers and duties of Mortgagee in case of entry as provided herein and in the Credit Agreement and shall continue as such and exercise all such powers until the later of (i) the date of confirmation of sale of all of the Property; (ii) the disbursement of all proceeds of the Property collected by such keeper and the payment of all expenses incurred in connection therewith; or (iii) the termination of such receivership with the consent of Mortgagee or pursuant to an order of a court of competent jurisdiction. Mortgagee may also request, in connection with any foreclosure proceeding hereunder, that the Louisiana Gaming Commission petition a District Court of the State of Louisiana for the appointment of a supervisor to conduct the normal gaming activities on the Property following such foreclosure proceeding. The compensation of the keeper is hereby fixed at 1% of the amount due or sued for or claimed or sought to be protected, preserved, or enforced, and shall constitute a part of the Secured Obligations.
