Joint Facilities. The parties acknowledge that some of the Transferred Businesses will be jointly operated by OMG and Ferro following the Closing of any Ferro Business operating in a joint facility until such time as it will be practicable to divide these jointly operated facilities between OMG and Ferro. The parties shall agree on how these facilities shall be operated and/or divided after each Closing on terms and conditions mutually satisfactory to the parties.
Joint Facilities. That portion of the City's present and future Internal System that benefits the District or are necessary to supply wholesale water to the District, including improvements, upgrades, and replacements.
Joint Facilities. The Capital Improvement Cost net of accumulated depreciation multiplied by 6 percent per year from the date of this Agreement.
Joint Facilities. If, during the construction of a New Capital Project to provide Gathering services, Gatherer intends to construct additional capacity on New Capital Project Facilities in order to accommodate Gas delivered by a Person other than Shipper, then Gatherer shall allocate capital costs to Shipper (i) in like manner as Gatherer would allocate capital costs to Shipper pursuant to Section 8 of this Agreement, (ii) as if Gatherer constructed such Facilities project for Shipper only and (iii) as if no Joint Facility had existed. For example, if it is determined that Shipper requires a ten-inch pipeline to be constructed in a specific project, and Gatherer alternatively designed a sixteen-inch line as a Joint Facility, Gatherer shall allocate the capital cost as if it had constructed ten-inch pipeline to Shipper for the purposes of Section 8. Gatherer shall adequately log and maintain during the Term records of the details of the capital costs as provided herein for the purposes of Section 1.2 of this Agreement. For a New Capital Project that adds Carbon Dioxide Treating Facilities with respect to which Gatherer adds additional capacity for Persons other than Shipper, then Gatherer shall allocate capital to Shipper on a volumetric basis in proportion to Shipper’s required Carbon Dioxide Treating capacity and the overall Carbon Dioxide Treating capacity of any such Facility.
Joint Facilities. (a) Other than claims resolved in the M&N Settlement Agreement, no claim has been asserted (i) against M&N or any of its Affiliates by the Issuer or PNGTS Operating Co., or (ii) against the Issuer or PNGTS Operating Co., by M&N or any of its Affiliates, in either case, under the Joint Facility Agreements that could, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
Joint Facilities. Joint Facilities means the 1969 Facilities, all facilities conveyed to the Authority pursuant to Section 5.8. hereof, Stage 1 of the Project and Stage 2 of the Project and improvements resulting from the reconstruction, replacement, rehabilitation, remodeling, relocation and repair by the Authority of Stages 1 and 2 of the Project or any component thereof or addition thereto.
Joint Facilities. The Authority may operate joint library facilities serving more than one Party. The Authority may participate with other entities in the operation of joint use library facilities.
Joint Facilities. Joint facility bills (both payable and receivable) relating to any period in which the Closing occurs, shall be prorated for that period, and liability or entitlement shall be apportioned between Seller and Purchaser, on the basis of the dates before and after the Closing Date on which the underlying work was performed, if available, or if not available on the basis of the actual number of calendar days in the applicable period occurring before and after the Closing Date.

Joint Facilities. The School Facilities and the City Facilities and such other facilities as shall hereafter be designated as Joint Facilities by the Joint Facilities Committee established below, and specifically approved by the City and the Board.
