Joint Facilities. The parties acknowledge that some of the Transferred Businesses will be jointly operated by OMG and Ferro following the Closing of any Ferro Business operating in a joint facility until such time as it will be practicable to divide these jointly operated facilities between OMG and Ferro. The parties shall agree on how these facilities shall be operated and/or divided after each Closing on terms and conditions mutually satisfactory to the parties.

For example, if it is determined that Shipper requires a ten-inch pipeline to be constructed in a specific project, and Gatherer alternatively designed a sixteen-inch line as a Joint Facility, Gatherer shall allocate the capital cost as if it had constructed ten-inch pipeline to Shipper for the purposes of Section 8. Gatherer shall adequately log and maintain during the Term records of the details of the capital costs as provided herein for the purposes of Section 1.2 of this Agreement. For a New Capital Project that adds Carbon Dioxide Treating Facilities with respect to which Gatherer adds additional capacity for Persons other than Shipper, then Gatherer shall allocate capital to Shipper on a volumetric basis in proportion to Shipper’s required Carbon Dioxide Treating capacity and the overall Carbon Dioxide Treating capacity of any such Facility.
Joint Facilities. (a) Other than claims resolved in the M&N Settlement Agreement, no claim has been asserted (i) against M&N or any of its Affiliates by the Issuer or PNGTS Operating Co., or (ii) against the Issuer or PNGTS Operating Co., by M&N or any of its Affiliates, in either case, under the Joint Facility Agreements that could, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
