Joinder Documents. In accordance with Section 6.13 of the Credit Agreement, the Additional Loan Party is, simultaneously with the execution of this Joinder Agreement, (a) executing and delivering such Security Documents (or joinders or assumptions thereto) as requested by the Administrative Agent in accordance with the Credit Agreement and (b) delivering such other documents and instruments as the Administrative Agent may require in its sole discretion, including appropriate favorable opinions of counsel to the Additional Loan Party in form, content and scope reasonably satisfactory to the Administrative Agent.

Joinder Documents. The New Subsidiary shall duly execute and deliver to the Agent allonges to each of the Revolving Credit Notes and the Term Notes, an Agency Account Agreement, and certificates of insurance, in form and substance reasonably satisfactory to the Agent. D&B shall deliver to the Agent to be held under the Stock Pledge Agreement as security for the Obligations, stock certificates representing all of the issued and outstanding capital stock of the New Subsidiary, together with stock powers duly executed in blank in form and substance reasonably satisfactory to the Agent for the New Subsidiary.
