Integrated Services. Digital Network (ISDN) is defined in two variations. The first variation is Basic Rate ISDN (BRI). BRI consists of 2 Bearer (B) Channels and one Data (D) Channel. The second variation is Primary Rate ISDN (PRI). PRI consists of 23 B Channels and one D Channel. Both BRI and PRI B Channels may be used for voice, Circuit Switched Data (CSD) or Packet Switched Data (PSD). The BRI D Channel may be used for call related signaling, non-call related signaling or packet switched data. The PRI D Channel may be used for call related signaling.

Integrated Services. WATERFRONT LEARNING will provide Integrated Services for district personnel to design program development, targeted goal setting and program evaluation throughout the year. Deliverables vary depending on the needs identified through the integration and program design processes. Services are defined and fees are set forth within the Statement of Work below. Integrated Services. If the Subscription Service (i) integrates or interoperates with third party hardware, software, services, websites, or data; or (ii) at Subscriber’s request enables automatic login, access to and transmission of (including automatic updates of) Subscriber data to nominated third parties’ systems via connected applications by logon to the Subscription Service (known as single sign-on) (together “Integrated Subscription Service”), it is Subscriber’s responsibility to secure the right for Fourth to receive, transmit, process, display, and store all data from and to such third party (“Integrated Data”) to the extent required for Fourth to perform its obligations and exercise its rights under these Terms and Conditions. Fourth’s obligation to provide Integrated Subscription Services are contingent upon Subscriber securing such rights. Subscriber’s failure to secure such rights does not terminate or suspend Subscriber’s obligation to pay Fees for the Integrated Subscription Service. Subscriber acknowledges that the Integrated Subscription Services may be provided through credentials which represents an administrator (or equivalent) level of access to the Subscription Service, the Integrated Data and Subscriber’s data. The Contractor shall develop a comprehensive integration strategy focused on improving individual health outcomes, enhancing care coordination and increasing member satisfaction. The Contractor shall develop specific strategies to promote the integration of physical and behavioral health services and coordination with the Division’s delivery of LTSS. Strategies are expected to focus on, but not be limited to:
Integrated Services. Partner acknowledges that in order to use certain Integrated Services, there may be additionally applicable terms and conditions including those which may establish a direct contractual relationship between Partner and a Integrated Services provider. If subscribed for Integrated Services, Partner agrees VTEX may allow the provider of such Integrated Services to access Partner’s Data as required for the interoperation of that Integrated Service with the VTEX Platform. Partner acknowledges VTEX is not responsible for any disclosure, modification or deletion of Partner’s Data resulting from access by an Integrated Service or its provider. VTEX does not warrant or support Integrated Services, whether or not they are designated as “certified” or otherwise, except as specified in an Order Form or a specific addendum related to the Integrated Service. Embedded Technology may be used among other ways to collect data and information (“third party information”) from various systems: (i) to identify opportunities in the third party information while using the Services; (ii) to make improvements to the software underlying the Services; and (iii) to measure Key Performance Indicators (KPIs). VTEX has no duty to verify the accuracy or reliability of all such third party information and KPIs and shall not be liable for any loss, damage or expense whatsoever and howsoever arising from any breach or error, loss, damage, or claim caused by Partner or any third party’s reliance on any such third party information and KPIs.

Integrated Services. Notwithstanding anything in the Agreement to the contrary, the parties recognize and support the integrated nature of the Project team in the performance and delivery of professional services by HMG. This Agreement, and particularly the contractual risk allocation and liability provisions, shall be interpreted and applied, and the professional accountability determined in such a manner that the integrated nature, shared control of the service performance, and joint decision making roles of the parties and HMG’s role as agent for the Diversion Authority shall be given due and full consideration. Further, the Parties agree to re-visit this Agreement, if necessary, to better reflect the Parties’ changing roles on the Project, and any changes in HMG’s role as the Project proceeds.

Accordingly, OnSolve may modify these Terms and Conditions upon thirty (30) days written notice to Customer if reasonably necessitated due to changes by such third- party providers. Customer’s failure to comply with such modified terms may result in the termination of certain critical services from OnSolve’s vendors which would impact all of OnSolve’s customers.
