Initial Units. On the basis of the representations and warranties herein contained and subject to the terms and conditions herein set forth, the Company agrees to sell to each Underwriter, severally and not jointly, and each Underwriter, severally and not jointly, agrees to purchase from the Company, at the price per Initial Unit set forth in Schedule B attached hereto, the number of Initial Units set forth in Schedule A attached hereto opposite the name of such Underwriter, plus any additional number of Initial Units which such Underwriter may become obligated to purchase pursuant to the provisions of Section 10 hereof.
Initial Units. Upon execution of this Agreement, the Initial Member shall be issued one thousand Units which shall, as of such time, constitute all of the Membership Interests of the Company.
Initial Units. On the basis of the representations and warranties herein contained and subject to the terms and conditions herein set forth, the Partnership agrees to sell to each Underwriter, severally and not jointly, and each Underwriter, severally and not jointly, agrees to purchase from the Partnership, at the price per unit set forth in Schedule A, that number of Initial Units set forth in Schedule A opposite the name of such Underwriter, plus any additional number of Initial Units which such Underwriter may become obligated to purchase pursuant to the provisions of Section 10 hereof, subject, in each case, to such adjustments among the Underwriters as the Representatives in their sole discretion shall make to eliminate any sales or purchases of fractional Units.
Initial Units. On the basis of the representations and warranties herein contained and subject to the terms and conditions herein set forth, the Partnership agrees to sell to each Underwriter, severally and not jointly, and each Underwriter, severally and not jointly, agrees to purchase from the Partnership, at the price of $24.91 per Common Unit (the “Purchase Price”), the number of Initial Units set forth in Exhibit A opposite the name of such Underwriter, plus any additional number of Initial Units that such Underwriter may become obligated to purchase pursuant to the provisions of Section 9 hereof, subject in each case to such adjustments among the Underwriters as the Representatives in their sole discretion shall make to eliminate any sales or purchases of fractional Units. The price at which the Units shall initially be offered to the public is $25.95 per Common Unit.
Initial Units. Initial Units. On the basis of the representations and warranties herein contained and subject to the terms and conditions herein set forth, the Partnership agree to sell to each Underwriter, severally and not jointly, and each Underwriter, severally and not jointly, agrees to purchase from the Partnership, at a price per unit of $22.60 that proportion of the number of Initial Units set forth in Annex I opposite the name of such Underwriter, plus any additional number of Initial Units which such Underwriter may become obligated to purchase pursuant to the provisions of Section 10 hereof, bears to the total number of Initial Units, subject, in each case, to such adjustment among Underwriters as the Representative, in its discretion, shall make to eliminate any sales or purchases of fractional securities.
Initial Units. As used herein, “Initial Units” means 55,976 units of the Class, subject to adjustment from time to time in accordance with the provisions of this Warrant.

Upon the basis of the agreements, warranties and representations and other terms and conditions herein set forth, at the purchase price per share of Common Units of $[ ], the Partnership agrees to sell to the Underwriters the number of Initial Units set forth in Schedule I opposite its name, and each Underwriter agrees, severally and not jointly, to purchase from the Partnership the number of Initial Units set forth in Schedule II opposite such Underwriter’s name, plus any additional number of Initial Units which such Underwriter may become obligated to purchase pursuant to the provisions of Section 8 hereof, subject in each case, to such adjustments among the Underwriters as the Representatives in their sole discretion shall make to eliminate any sales or purchases of fractional units.
