Initial Expenses. The Borrower shall reimburse the Agent on first demand on a full indemnity basis for the reasonable charges and expenses (together with value added tax or any similar tax thereon and including without limitation the fees and expenses of legal, insurance and other advisers and travel expenses) incurred by the Agent in respect of the syndication, negotiation, preparation, printing, execution and registration of this Agreement and the other Transaction Documents and any other documents required in connection with the implementation of this Agreement and the Apollo-Related Transactions.
Initial Expenses. The Borrower shall reimburse the Agent on demand on a full indemnity basis for the charges and expenses (together with value added tax or any similar tax thereon and including without limitation travel expenses and the fees and expenses of legal, insurance and other advisers) by the Lead Arrangers, the Agent and the Lower Saxony Guarantee Agent in respect of the arrangement and syndication of the Facility and the negotiation, preparation, issue, printing, execution and registration of this Agreement, the other Transaction Documents and the Lower Saxony Guarantees and any other documents required in connection with the implementation of this Agreement.
Initial Expenses. Each Partner shall bear its own legal and related expenses pertaining to the negotiation of this arrangement and the creation of the Partnership. The fees and costs of Florida and Delaware counsel and any others incurred in connection with transferring any partnership interest to the Partnership and otherwise in connection with formation of, and setting up of, the Partnership shall be a Partnership expense (except and to the extent incurred in connection with giving advice to one Partner or the other for its personal benefit in which case the Partner receiving the advice shall be responsible for such fees and costs.)
Initial Expenses on demand, all reasonable costs and expenses (including legal fees and Taxes) incurred by the Banks, the Arrangers and the Agent in connection with the preparation, negotiation, syndication, entry into or advertising of the Information Package and this Agreement from the Arrangers and the Agent to the Borrower), and/or any amendment of, supplement to or waiver or consent in respect of this Agreement requested by or on behalf of the Borrower (whether or not entered into or given);

Borrower shall reimburse the Lender, on the First Closing Date as provided in Section 2.03, in an amount not to exceed $200,000, for all (a) actual, documented out-of-pocket fees and expenses incurred by the Lender (including all fees and expenses of outside counsel to the Lender), supported by reasonable documentation, in connection with the negotiation, preparation, execution and delivery of this Agreement and the other Transaction Documents including any amendment or waiver with respect thereto and (b) reasonable fees and expenses, supported by reasonable documentation, of due diligence conducted by the Lender or other Parties (including outside counsel to the Lender) at the request of the Lender.
Initial Expenses. The Parent will on demand pay to the Agents and the Arranger the amount of all costs and expenses (including legal fees and other out-of-pocket expenses and any value added tax or other similar tax thereon) reasonably incurred by either Agent or the Arranger in connection with:

Borrower shall reimburse the Lender, on the Closing Date as provided in Section 2.03(a), for all (a) actual reasonable out-of-pocket fees and expenses incurred by the Lender (including all reasonable fees and expenses of outside counsel to the Lender) in connection with the negotiation, preparation, execution and delivery of this Agreement and the other Loan Documents and (b) reasonable out-of-pocket fees and expenses in respect of due diligence conducted by the Lender or other parties (including outside counsel to the Lender) at the request of the Lender in an aggregate amount not to exceed [*****] with respect to (a) and (b).

The Borrower shall reimburse the Lender, on the Closing Date as provided in Section 2.03, for all (a) reasonable costs and expenses incurred by the Lender (including all reasonable fees and expenses of outside counsel to the Lender), supported by reasonable documentation, in connection with the negotiation, preparation, execution and delivery of this Agreement and the other Transaction Documents including any amendment or waiver with respect thereto and (b) reasonable costs and expenses, supported by reasonable documentation, of due diligence conducted by the Lender or other parties (including outside counsel to the Lender) at the request of the Lender.
Initial Expenses. For the specific purpose of locating accommodation at the new location, an employee shall be entitled to five days' leave with pay and shall be reimbursed for their travel expenses and, where applicable, the travel expenses for their spouse and children. The paid leave shall be at a time mutually agreeable to the BCGEU and the employee concerned.

Borrower shall reimburse the Lender, on the Tranche B Closing Date as provided in Section 2.03, for all (a) actual, documented out-of-pocket fees and expenses incurred by the Lender (including all fees and expenses of outside counsel to the Lender), supported by reasonable documentation, in connection with the negotiation, preparation, execution and delivery of this Amended Agreement and the other Transaction Documents including any amendment or waiver with respect thereto and (b) reasonable fees and expenses, supported by reasonable documentation, of due diligence conducted by the Lender or other parties (including outside counsel to the Lender) at the request of the Lender; provided that Borrower shall not be required to reimburse any amounts pursuant to this Section 4.04 in excess of [*****] in the aggregate.
