Information Defined. “Information” means all oral, written and electronic information and data about Client obtained from RLH or Client. Information includes, but is not limited to, information about Client’s business operations, plans, assets and liabilities, reports, lists, drawings, design concepts, materials, records, the fact that Client is considering a transaction, Client’s identity or any information that may identify Client, Client’s location and Client’s industry. “Information” does not include information:
Information Defined. Each party acknowledges that, in the course of its performance under the Agreement, it will receive certain private and proprietary information from or about the other party or its affiliates, including but not limited to the terms of the Agreement to which this Nondisclosure Agreement is attached, technical, financial or business information and models, names of customers or partners, proposed business deals, reports, plans, market projections, software programs, data or any other private and proprietary information relating to the Agreement which may include certain trade secrets ("Information"). The term "Information" as used herein also includes: (i) the fact that the Information has been made available to or is being inspected or evaluated by such party; and (ii) any information, work papers, analyses, compilations, projections, studies, documents, terms, conditions, correspondence, facts or other materials derived or produced by such party or its representatives for the other party in connection with the Agreement. Any Information supplied by a party to the other party prior to the execution of this Agreement shall be subject to the same treatment as the Information made available after the execution of this Agreement.
Information Defined. “Information’’ means any information, whether or not designated as confidential, disclosed to one party (“Recipient”) by the other party (“Discloser”), either directly or indirectly in writing, orally, electronically or by delivery of tangible objects, including, but not limited to confidential or proprietary information, including without limitation, (a) concepts, ideas, inventions, models, diagrams, designs, data, documents, research, studies, analyses, forecasts, processes, procedures, systems, technology, intellectual property, trade secrets, business plans or opportunities, business strategies, marketing plans or opportunities, marketing strategies, product development plans or opportunities, future projects or products, projects or products under consideration, and information relating to finances, costs, prices, suppliers, vendors, customers and employees, and (b) any information that contains, reflects, or is based upon, in whole or in part, any Information furnished to Recipient by Discloser, including without limitation any notes, analyses, compilations, studies, interpretations, memoranda or other documents or tangible objects. Information may also include information previously disclosed to Discloser by third parties.
Information Defined. The term "Information" includes: programs and related documentation; specifications, drawings, models, technical and business data and plans; works of authorship and other creative works; and ideas, knowledge and know-how. Information may be transmitted in writing (or other tangible form) or orally.

The parties acknowledge that, in the course of their discussions relating to the Proposed Transaction, each party may receive certain private and proprietary information from or about the other party or its affiliates, including, but not limited to, technical, financial or business plans and models, names of customers or partners, proposed business deals, reports, market projections, software programs, data or any other private and proprietary information relating to the Proposed Transaction which may include certain trade secrets ("Information"). The term "Information" as used herein also includes: (i) the fact that the Information has been made available to the receiving party; (ii) the fact that discussions are taking place concerning the Proposed Transaction; and (iii) any of the terms, conditions or other facts with respect to the Proposed Transaction or other related transactions, including the status thereof. Any Information supplied by either party to the other prior to the execution of this Agreement shall be subject to the same treatment as the Information made available after the execution of this Agreement.

Information Defined a) Information (“Information”) is defined as: the following materials and Information (including any and all copies thereof), whether having existed, now existing, or to be developed or created during the term of this Agreement, whether tangible or intangible; and whether or how stored; compiled or memorialized physically: electronically; graphically; photographically; or in writing; is covered by this Agreement and acknowledged by the CONTRACTOR to be valuable; special; and unique assets of the Company or its customers and clients, the disclosure of which may be materially damaging.

The following items of information only insofar as they have pan-European impact shall be available for presentation and discussion at the annual meeting of the European Works Council, subject to the setting of the Agenda by the President in consultation with the Coordinating Committee: • The information and consultation meeting shall relate in particular to the structure, economic and financial situation, the probable development of the business and of production and sales, the situation and probable trend of employment, investments, and substantial changes concerning organization, introduction of new working methods or production processes, transfer of production, mergers, cut-backs or closures of undertakings, establishments or important parts thereof, and collective redundancies. • Training and development programs. • Environmental, health and safety trends by Strategic Business Group.
