Except for public domain imagery and except as set forth in Schedule 3.17(a), the Company either owns or licenses all Images used or held for use by the Company in connection with the Business. The Offered Images include all of the Images used or held for use by the Company and material to the operation of the Business as currently conducted. The Company has the right to display, reproduce, distribute, market, transmit electronically (except when expressly prohibited by contract), and (except in the case of Unapproved Images) sublicense the use of each Offered Image to the extent required for the continued operation of the Business in a manner consistent with the Company’s past practice. Except as detailed on Schedule 3.17(a), to the knowledge of the Company, no public domain Image included in the Offered Images requires a license or the payment of a fee for the Company’s use thereof in a manner consistent with the Company’s past practice.
