Grantee Status. Grantee shall perform all work under this Agreement as an independent contractor. Xxxxxxx is not an officer, employee or agent of the Agency or State, as those entities are respectively defined in ORS chapter 456 and in ORS 30.265, with respect to work performed under this Agreement. Grantee agrees that insurance coverage, whether purchased or by self-insurance, for Xxxxxxx’s agents, employees, officers and/or subcontractors is the sole responsibility of Grantee. Grantee certifies that it is not employed by or contracting with the federal government for the work covered by this Agreement. Grantee Status. If Grantee is an organization, Grantee represents and warrants that it has provided Client with current and correct copies of its governing documents, a completed and filed IRS Form SS-4, or other documentation satisfactory to Client, showing Xxxxxxx’s separate existence as an organization. If Grantee is an individual, Xxxxxxx personally assumes full legal, fiscal, and oversight responsibility for all aspects of this Agreement.
Grantee Status a. The Grantee is a separate and independently established business, retains sole and absolute discretion over the manner and means of carrying out the Grantee’s activities and responsibilities for the purpose of implementing the provisions of this contract, and maintains the appropriate license/certifications, if required under Oregon Law. This Agreement shall not be construed as creating an agency, partnership, joint venture, employment relationship or any other relationship between the parties other than that of independent parties. The Grantee is acting as an “independent contractor” and is not an employee of County, and accepts full responsibility for taxes or other obligations associated with payment for services under this contract. As an “independent contractor”, Grantee will not receive any benefits normally accruing to County employees unless required by applicable law. Furthermore, Grantee is free to contract with other parties for the duration of the contract.
Grantee Status. Grantee represents and warrants that its organizational status and/or activities adheres to one of the above classifications. Grantee shall notify Grantor should its status change at any time during the Grant term.
Grantee Status. FVWDB shall continue to receive funds from both state and federal sources, including among others, those received from the Federal Department of Labor through the State of Wisconsin by means of the Workforce Investment Act, and shall be designated as and considered the primary recipient for such funds. FVWDB will continue to be the primary recipient for various funds related to the advancement of workforce development. (Funding received by FVWDB may be referred to hereinafter as “Workforce Development Funds.”)
Grantee Status. The Grantee represents and warrants that it is exempt from income taxes under Section 501(c)(3) of the Code and classified as a public charity under Code Section 509(a)(1), (2) or (3), or is a foreign equivalent of such an organization (a “Foreign Public Charity Equivalent” or “FPCE”). Grantee shall use its best efforts to ensure that it remains classified as such for the duration of the Grant Term.
Grantee Status. (a) (i) The Grantee is an employee of the Company and is eligible to purchase the Award Shares under the Plan and (ii) the Grantee has such knowledge and experience in financial and business matters that he or she is capable of evaluating the merits and risks of his or her investment in the Award Shares and (b)(i) the Grantee’s financial situation is such that the Grantee can afford to bear the economic risk of holding the Award Shares for an indefinite period of time, (ii) the Grantee can afford to suffer complete loss of his or her investment in the Award Shares, and (iii) the Grantee has had adequate opportunity to ask questions of, and receive answers from, the Company as well as the Company’s officers, employees, agents and other representatives concerning the Company’s business, operations, financial condition, assets, liabilities and all other matters relevant to the Grantee’s investment in the Award Shares.

  • Employee Status For purposes of determining the applicability of Section 422 of the Code (relating to Incentive Stock Options), or in the event that the terms of any Grant provide that it may be exercised only during employment or within a specified period of time after termination of employment, the Committee may decide to what extent leaves of absence for governmental or military service, illness, temporary Disability, or other reasons shall not be deemed interruptions of continuous employment.

  • Death of Optionee If the Optionee shall die while in the employ of the Company, Optionee's personal representative or the person entitled to Optionee's rights hereunder may at any time within six (6) months after the date of Optionee's death, or during the remaining term of this Option, whichever is the lesser, exercise this Option and purchase Shares to the extent, but only to the extent, that Optionee could have exercised this Option as of the date of Optionee's death; provided, in any case, that this Option may be so exercised only to the extent that this Option has not previously been exercised by Optionee.

  • Restriction of Employee Status The status of all employees covered by this Agreement shall be defined under one of the preceding three (3) definitions. If a dispute arises over the proper allocation of employee status, such dispute shall be resolved through Article 9.04

  • Disability of Optionee If the Optionee ceases to be a Service Provider as a result of the Optionee’s Disability, this Option may be exercised for a period of twelve (12) months after the date of such termination (but in no event later than the expiration date of this Option as set forth in the Notice of Grant) to the extent that the Option is vested on the date of such termination. To the extent that Optionee does not exercise this Option within the time specified herein, the Option shall terminate.

  • DEFINITION OF EMPLOYEE STATUS 8.01 The status of all employees covered by this agreement shall be defined under one of the following three definitions.

  • Tax Free Status No party shall, nor shall any party permit any of its subsidiaries to, take any actions which would, or would be reasonably likely to, adversely affect the status of the Merger as a reorganization within the meaning of Section 368(a) of the Code, and each party hereto shall use all reasonable efforts to achieve such result.

  • Grantee Employment Nothing contained in this Agreement, and no action of the Company or the Committee with respect hereto, shall confer or be construed to confer on the Grantee any right to continue in the employ of the Company or any of its Subsidiaries or interfere in any way with the right of the Company or any employing Subsidiary to terminate the Grantee's employment at any time, with or without cause; subject, however, to the provisions of any employment agreement between the Grantee and the Company or any Subsidiary.

  • Termination of Service Termination of Service shall mean the Executive's voluntary resignation of service by the Executive or the Bank's discharge of the Executive without cause, prior to the Early Retirement Date (Subparagraph I [K]).

  • Death of Grantee If the Grantee shall die during the term of this Option, the Grantee's legal representative or representatives, or the person or persons entitled to do so under the Grantee's last will and testament or under applicable intestate laws, shall have the right to exercise this Option, but only for the number of shares as to which the Grantee was entitled to exercise this Option in accordance with Section 2 hereof on the date of his death, and such right shall expire and this Option shall terminate one (1) year after the date of the Grantee's death or on the expiration date of this Option, whichever date is sooner. In all other respects, this Option shall terminate upon such death.
