Grant Activities. In furtherance of the Grant, the specific terms, conditions, activities, and outcomes to which each party agrees are described in the terms sheet set forth as Exhibit A (“Terms Sheet”).

Intrexon shall not unreasonably use its casting vote at the IPC to withhold its approval of relevant Government Funding grants or contracts to the extent that such grants or contracts do not (i) unreasonably restrict Intrexon’s rights to own or use any Inventions developed in the course of the Melioidosis Program consistent with Article 6 of this Agreement, or (ii) impose unreasonable restrictions upon Intrexon’s business or platform technology programs. Grant Activities. During the period of 7/1/20 to 06/30/21 the grantee will:  Hire a consultant to assist in the development of a bicycle and pedestrian master plan and formally adopt the plan as an amendment to the City’s and County’s comprehensive plan. Scope of Work: During the period of the grant activities, the grantee will:  Assign a staff member as the project manager for the project and a primary point of contact with the Indiana State Department of Health (ISDH).  Manage the overall project, hire the consultant and pay the consultant directly.  Create a Bicycle-Pedestrian Master Plan advisory committee (advisory committee) to provide guidance throughout the planning process.  Complete an existing condition analysis (written narrative, a summary of the physical inventory and analysis along with a summary of the results of the community survey).  Conduct a minimum of 4 advisory committee meetings and 2 public meetings/workshops; provide written summaries of each in the final plan.  Prepare a prioritized list of recommendations within the draft plan, including short-term and long-term recommendations. Provide level of magnitude costs for the recommendations of the plan.  Submit a copy of the draft plan to ISDH for review and comment.  The City of Lafayette, City of West Lafayette, and Tippecanoe County will adopt the final bicycle-pedestrian master plan as an amendment to the existing comprehensive plan by formal resolution and provide a copy of the signed resolution of adoption to ISDH.  Submit the final adopted plan document in PDF electronic format along with an electronic copy of the signed resolution of adoption to ISDH.  Maintain all books, documents, papers, accounting records, and other evidence pertinent to this agreement. Such materials will be available at the City offices during regular business hours for the duration of the grant and for three (3) years after the conclusion of this agreement.
