Future Technology. It is agreed that new technology, which is to be introduced, will be discussed with the Consultative Committee prior to its implementation. Toll may introduce, deploy and utilise new technology (including, for example, hand-held terminals) with employees fully co-operating in its use following appropriate training, consultation and agreement with the Consultative Committee acknowledging our customers requirements and the reduction in paperwork processing for both drivers and the business.
Future Technology. Licensor shall promptly supply to the Licensee all things of the nature described in Clause 7.1 necessary for Licensee to commercialize the rights licensed to Licensee hereunder. * Confidential material redacted
Future Technology. Employees will embrace and cooperate with all aspects of new and future technology that may be introduced during the term at the Agreement. The Company will in turn provide adequate training of Employees in the use of such equipment and technology introduced.

Future Technology. Conditional upon ILEX fully complying with all of ILEX's material obligations under this Agreement, ILEX shall have a right of first negotiation to license each THP-Drug developed by or for TBI. TBI shall in good faith negotiate such license agreements with ILEX during the period of sixty (60) days following TBI's request to ILEX as to whether ILEX desires to license a particular THP-Drug and delivery by TBI to ILEX of a detailed written description of such THP- Drug and applicable proprietary rights. If the Parties fail to enter such a license agreement on mutually agreeable terms for any THP-Drug, TBI may undertake the commercial exploitation of such THP-Drug itself or license such THP-Drug to a Third Party; provided, however, (i) as to any THP-Drug for which ILEX has so expressed a desire to license, and subject to the condition set forth in the first sentence hereof,TBI shall not enter a license agreement related to such THP-Drug with a Third Party on more favorable terms to the Third Party than TBI offered to ILEX for a period of five (5) years after the date of such offer and (ii) the Parties' failure to enter a license agreement for any one THP-Drug shall not affect ILEX's right of first negotiation in any other THP-Drug. TBI shall provide ILEX information related to each THP-Drug in a timely manner after such THP Drug information is developed by or for and received by TBI during the first five (5) years after the Effective Date. No more frequently than one (1) time during each year during the term of the Franchise Agreement starting in the third (3rd) year of this Agreement, if requested in writing by the Franchising Authority, Franchisee shall review with the Franchising Authority changes in relevant cable television technology that might benefit Town Subscribers. Relevant cable technology is that technology necessary to give the Cable System the capability of providing Cable Services substantially equal to those services available to at least fifty percent (50%) of all Subscribers in the following municipalities: Sanford, Maine, and Rochester, Laconia, Franklin and Barrington, New Hampshire. Such technology shall include but not be limited to customer premises equipment, cable ready television sets, high definition television, digital compressions, remote control devices, scrambling technology, additional interactive capability, and digital video recording technologies.

(a) No more frequently than one (1) time during each year during the term of the Franchise Agreement starting in the third (3rd) year of this Agreement, if requested in writing by the Franchising Authority, Franchisee shall review with the Franchising Authority changes in relevant cable television technology that might benefit Town Subscribers. Relevant cable technology is that technology necessary to give the Cable System the capability of providing Cable Services substantially equal to those services available to at least fifty percent (50%) of all Subscribers in the following New Hampshire municipalities: Rochester, Xxxxxx, Farmington, Strafford and such other New Hampshire municipalities as mutually agreed. Such technology shall include but not be limited to converters, cable ready television sets, high definition television, digital compressions, cable modems, remote control devices, scrambling technology, additional interactive capability, and digital video recording technologies.
Future Technology. During the term of this Agreement, Cyber will also grant to Powersoft, under the same terms and conditions described in Paragraph 1.1 above, licenses to future Technology developed by Cyber in consideration for the value described below.
Future Technology. The company will work closely with Westpac to develop new work processes, involving new technologies, to enhance customer service. The company and it Employees agree that any change of work methods brought about by process redesign and/or new technology will be implemented in a consultative and cooperative manner.
Future Technology. The parties recognize that development of successors to the Products may require additional technology rights and licenses not conveyed under this Agreement or the Technology Agreement. The Seller and Buyer shall negotiate in good faith for such rights and licenses as may be required from time to time; provided that, nothing herein shall require Seller or Buyer to license any additional technology rights to or from the other party.
