Fund Management Fee. The Issuer shall ensure that, at all times up until all obligations and liabilities pursuant to the Finance Documents have been repaid and discharged in full, an agreement between the Issuer and the Fund Manager is in place providing for that, starting from 30 June 2024, 100 per cent. of the fund management fee to the Fund Manager shall be paid in kind and be subordinated to the obligations and liabilities pursuant to the Finance Documents or converted to equity in the Fund.
