Fund Elections. Pursuant to Sections 734, 743 and 754, a partnership may elect to have the cost basis of its assets adjusted in the event of a sale by a partner of the partner's interest in the partnership, the death of a partner, or the distribution of property to a partner. The general effect of such an election is that the transferees of an interest in the partnership are treated as though they had acquired a direct interest in the partnership assets and, upon certain distributions to partners, the partnership is treated as though it has newly acquired an interest in the partnership assets and therefore acquired a new cost basis for such assets. Any such election, once made, is irrevocable without the consent of the Service. In cases where the Fund owns property with substantially higher cost basis than its value, it may be required to make the basis adjustments as if a Section 754 election were in effect. Otherwise, as a result of the complexities and the substantial expense inherent in making the election, the Manager does not presently intend to make such an election on behalf of the Fund. The absence of any such election may result in a reduction in value of an Investor's Shares to any potential transferee. Thus, the absence of the power to compel the making of such an election should be considered an additional impediment to the transferability of Shares. Various other elections affecting the computation of federal income tax deductions and taxable income derived from the Fund must be made by the Fund and not by the individual Investors. For purposes of reporting each Investor's share of Fund income, gains and losses, the Fund's elections are binding upon the Investors.
