Full and Complete Settlement. Executive acknowledges that the agreements contained herein and payment of the Severance Benefit are to be made and received in full and complete settlement and satisfaction of all of the aforesaid claims, actions, causes of actions, demands, damages, costs and expenses. The Company acknowledges that Executive's agreements contained herein are to be made and received in full and complete settlement and satisfaction of all of the aforesaid claims, action, causes of actions, demands, damages, costs and expenses. This Agreement is entered into freely and voluntarily by the parties with the approval and the opportunity to obtain the advice of counsel.

It is understood and agreed that this settlement constitutes a full, final, and comprehensive settlement and release by Plaintiff as to the Released Parties regarding the Lawsuit, that all prior discussions and negotiations, whether written or oral, have no binding or legal effect, and that the terms of this Agreement may not be amended orally.

Seller hereby acknowledges that the compensation paid to Seller through this Agreement constitutes the full and complete settlement of any and all claims against Buyer, by reason of Buyer's acquisition of the Easements, specifically including, but not limited to, any and all damage to Seller's remainder property by reason of the acquisition of the Easements or the installation of the Project in the manner proposed, the value of improvements pertaining to the realty, leasehold improvements, any and all claims of rental or leasehold value and loss of business goodwill (excluding relocation benefits, if any), and any and all claims in inverse condemnation and for pre-condemnation damages, and any and all other claims that Seller may have, whether or not specifically mentioned here, relating directly or indirectly to the acquisition by Buyer of the Easements.

By executing this Agreement, the Debtors, the Committee, and the Equity Holders and Affiliates expressly agree, declare, and acknowledge that it is their intention to resolve any and all disputes and potential disputes which may now exist, known or unknown, between them.
