Fixed Component. The non-variable component of the Advisory Fee as described in Section 9. GAAP. Generally accepted accounting principles as in effect in the United States of America from time to time.
Fixed Component. WellCare shall pay to the United States and the States that execute separate settlement agreements with WellCare to resolve WellCare's potential state liability for the Covered Conduct (the "Medicaid Participating States"), a collective total of $137.5 million (including the federal share of $83,980,591.88 and state share of $53,519,408.12 (such state share being the "Medicaid State Settlement Amount")), plus interest accruing annually at 3.125% in four equal installments, not exceeding 36 months from the Effective Date of the Federal Settlement Agreement.
Fixed Component a. Determine whether the minimum threshold for the Partial Fixed Component or Complete Fixed Component for the Preterm Birth PFS Outcome Metric is achieved. The minimum threshold for the Partial Fixed Component for the Preterm Birth PFS Outcome Metric is achieved if the Preterm Birth PFS Impact Estimate is greater than or equal to 0.135 and less than 0.15. The minimum threshold for the Complete Fixed Component for the Preterm Birth PFS Outcome Metric is achieved if the Preterm Birth PFS Impact Estimate is greater than or equal to 0.15.
Fixed Component a. Determine whether the minimum threshold for the Coverage of LIZCs PFS Outcome Metric is achieved. The minimum threshold for the Coverage of LIZCs PFS Outcome Metric is greater than or equal to 0.65.
Fixed Component a. Determine whether the minimum threshold for the Partial Fixed Component or Complete Fixed Component for the Child Injury PFS Outcome Metric is achieved. The minimum threshold for the Partial Fixed Component for the Child Injury PFS Outcome Metric is achieved if the Child Injury PFS Impact Estimate is greater than or equal to 0.234 and less than 0.26. The minimum threshold for the Complete Fixed Component for the Child Injury PFS Outcome Metric is achieved if the Child Injury PFS Impact Estimate is greater than or equal to 0.26. If the minimum threshold for the Partial Fixed Component or Complete Fixed Component for the Child Injury PFS Outcome Metric is not achieved, enter the value $0 into cell D2 of the PFS Success Payment 2 Calculator Table in Table 4 above.
Fixed Component. Between the 1st and 5th day of each month after the month in which the Full Notice to Proceed occurs, Contractor shall submit to Owner an Application for Payment filled out and signed by Contractor. Each Application for Payment for the Fixed Component shall describe (a) all Milestones completed, the sum of all prior payments in respect of the Fixed Component made by Owner to Contractor through the last day of the prior month, (b) the amount of the Fixed Component owed to Contractor based upon the completed Milestones and the Milestone Payment Schedule attached hereto as Appendix G (the “Milestone Payment Schedule”) and an updated Milestone Payment Schedule, reflecting payments made, (c) the Fixed Component amount for any agreed Change Order Work performed stating specifically the Work performed and the Change Order supporting the payment and (d) any amount due in respect of the Fixed Component for which payment was withheld from an earlier payment and where the cause for such withholding no longer applies.
Fixed Component. WellCare shall pay to the United States and States that execute separate settlement agreements with WellCare to resolve WellCare's AGREEMENT BETWEEN WELLCARE, THE UNITED STATES AND RELATORS potential state liability for the Covered Conduct (Participating States), a collective total of $137.5 million (including the federal share of $83,980,591.88 and state share of $53,519,408.12), plus interest accruing annually at 3.125% in four installments, not exceeding 36 months from the Effective Date of this Agreement. The first installment payment due under this Agreement shall be made by electronic funds transfer pursuant to written instructions to be provided to WellCare by the United States Department of Justice. Subject to Paragraph 33 below, all subsequent installment payments shall be made pursuant to the separate written instructions to be provided to WellCare by the United States Department of Justice and the National Association of Medicaid Fraud Control Unit's Team acting on behalf of the Participating States. The first installment payment in the amount of $34.375 million plus accrued interest shall be made within five (5) business days after the Effective Date of this Agreement as defined in Paragraph 31 (Initial Fixed Payment Date); the second installment in the amount of $34.375 million plus accrued interest shall be made on or before the one year anniversary of the Initial Fixed Payment Date; and the third installment in the amount of $34.375 million plus accrued interest shall be made on or before the two year anniversary of the Initial Fixed Payment Date; the fourth and final installment payment in the amount of $34.375 million plus accrued interest shall be made on or before the third year anniversary of the Initial Fixed Payment Date. Interest shall begin to accrue as of December 22, 2010, when counsel for the United States notified counsel for WellCare in writing that the Government had received AGREEMENT BETWEEN WELLCARE, THE UNITED STATES AND RELATORS settlement authority from the United States Department of Justice. WellCare may accelerate payments under the fixed component provision without penalty.
Fixed Component. There shall be no adjustment to the Base Fixed Component.
Fixed Component. The Fixed Component is one hundred eighty-four million nine hundred seventy-seven thousand two hundred seventy-five Dollars ($184,977,275). The Fixed Component addresses all components of the Work aside from the Work that is part of the Reimbursable Component pursuant to Section 5.1.2. The items to be included in the Fixed Component include, without limitation, the following. • Home office services, including engineering • Field supervision • Temporary facilities • Field office expenses • Construction equipment, including heavy lift cranes • Tools and Consumables • Insurance required of Contractor • Miscellaneous expenses • Contingency (on fixed components, quantities, and contract risk) • Equipment (excepting Owner-provided Equipment) • Bulk Materials • Special tools for maintenance • Contractor fee, administration and overhead • Warranties
