Filing as a Financing Statement. At the option of the Company, this Agreement, or a carbon, photographic or other reproduction of this Agreement or of any Uniform Commercial Code financing statement covering the Collateral or any portion thereof shall be sufficient as a Uniform Commercial Code financing statement and may be filed as such.

At the option of the Collateral Agent, this Pledge Agreement, or a carbon, photographic or other reproduction of this Pledge Agreement or of any Uniform Commercial Code financing statement covering the Collateral or any portion thereof, shall be sufficient as a Uniform Commercial Code financing statement and may be filed as such.
Filing as a Financing Statement. National Beef shall be authorized to execute and file such UCC financing statements and other documents (in all public offices reasonably deemed necessary or appropriate by National Beef), and Pledgor shall do such other acts and things, all as National Beef may from time to time request, to establish and maintain a valid, perfected security interest in the Collateral to secure the payment of the Obligations.

At the option of the Administrative Agent, this Pledge Agreement, or a carbon, photographic or other reproduction of this Pledge Agreement or of any Uniform Commercial Code financing statement, continuations and amendments thereto, covering all of the Collateral or any portion thereof shall be sufficient as a Uniform Commercial Code financing statement and may be filed as such without the signature of the Pledgor where and to the full extent permitted by applicable law. THERE ARE NO UNWRITTEN ORAL AGREEMENTS AMONG THE PARTIES.

At the option of the Collateral Agent, this Security Agreement, or a carbon, photographic or other reproduction of this Security Agreement or of any U.C.C. financing statement, continuations and amendments thereto, covering all of the Collateral or any portion thereof shall be sufficient as a U.C.C. financing statement and may be filed as such without the signature of the Grantor where and to the full extent permitted by applicable law.

At the option of the Global Administrative Agent, this Pledge Agreement, or a carbon, photographic or other reproduction of this Pledge Agreement or of any Uniform Commercial Code financing statement, and amendments thereto, covering all of the Collateral or any portion thereof shall be sufficient as a Uniform Commercial Code financing statement and may be filed as such without the signature of the Pledgor where and to the full extent permitted by applicable law, and the Pledgor hereby authorizes the Global Administrative Agent to file U.C.C. financing statements, continuations and amendments with respect to the Collateral describing the collateral property as “all property” or words of similar import, and to file U.C.C. financing statements, and continuations and amendments thereto, and similar documents with respect to the Collateral without its signature (to the extent permitted by applicable law).

At the option of Pledgee, this Pledge Agreement, or a carbon, photographic or other reproduction of this Pledge Agreement or of any UCC financing statement, continuations and amendments thereto, covering all of the Collateral or any portion thereof shall be sufficient as a UCC financing statement and may be filed as such without the signature of Pledgor where and to the full extent permitted by applicable law.

Each Pledgor hereby expressly authorizes the Administrative Agent to file UCC financing statements, continuation statements and amendments with respect to the Collateral without such Pledgor’s signature (to the extent permitted by applicable law).

Leucadia shall be authorized to execute and file such UCC financing statements and other documents (in all public offices reasonably deemed necessary or appropriate by Leucadia), and Pledgor shall do such other acts and things, all as Leucadia may from time to time request, to establish and maintain a valid, perfected security interest in the Collateral to secure the payment of the Obligations.
