Fee Reductions Clause Samples

Fee Reductions. (a) All earned fee in each year of Contract performance is subject to reductions imposed by the terms and conditions of this Contract, including, but not limited to: (1) Section B Clause entitled, Fee Determination and Payment; (2) Section B Clause entitled, Small Business Subcontracting Fee Reduction; (3) Section B Clause entitled, DEAR 970.5215-3, Conditional Payment of Fee, Profit, and Other Incentives – Facility Management Contracts (Alternate II) [DEVIATION]; (4) Section B Clause entitled, Conditional Payment of Fee (CPOF)

Fee Reductions. In the case of fee reductions pre-approved and processed by the County, the payment due to the Contractor will be calculated based on the Registration Fee percentages above before any County-authorized fee reductions. Fee Reductions. Each SLA identifies key performance measures that will be used to evaluate ACS’ delivery of the Services. The overriding goal in developing SLAs is to support Symetra’s desire to manage ACS by monitoring and measuring performance with respect to Symetra’s most-important business requirements. The Fee Reductions for ACS’ failure to achieve any SLA shall be equal to the product of: (i) the Annual At-Risk Amount, multiplied by (ii) the Weighting Factor (set forth in the attached Table 1) for the SLA that was missed. For example, given the following assumptions: (a) the Annual Services Fees are [***] Dollars ($[***]); (b) the total Annual At-Risk Amount therefore equals [***] Dollars ($[***]) ([***] percent ([***]%) of the Annual Services Fees); and (c) an SLA failure occurs with respect to an SLA having a [***] percent ([***]%) Weighting Factor, Fee Reductions would be calculated as follows: Fee Reduction $[***], which does not exceed the monthly Fee Reduction cap of [***] percent ([***]%) of the Annual At-Risk Amount (in this case, $[***]). If the Fee Reduction had been greater than $[***] (either individually or in the aggregate when considering all Fee Reductions for that month), such Fee Reductions would be capped at $[***]. Fee Reductions. As of the Amendment Effective Date, the System Access License Fee set forth in Exhibit D of the Transaction Agreement is reduced from [*******] per year to [*******] per year. As of October 1, 2000, such System Access Fee shall be reduced from [*******] per year to $1,037,000 per year. As of April 1, 2000, Supplier shall waive the following [*******].

Fee Reductions. “Fee Reductions” are specific monetary amounts that are owing and payable to Client as a result of Provider’s failure to meet a recurring SLR for which a Weighting Factor is assigned. The methodology for the calculation of Fee Reductions and the list of SLRs for which Fee Reductions are applicable are set forth in Schedule 4 herein.

Fee Reductions. No instrument or agreement governing a relationship with a customer of the Company provides for any reduction of fees charged (or in other compensation payable to the Company thereunder) greater than either 5% of the applicable compensation or $10,000 at any time subsequent to the date hereof.

(b) The maximum fee reduction in any one (1) year of Contract performance is the allocated Available Fee, as defined in the Section J Attachment entitled, Performance Evaluation and Measurement Plan, that can be earned in the year the event occurred.

Fee Reductions. No Contract governing a relationship with a Client provides for any material reduction of fees charged (or in other compensation payable to the Company thereunder) at any time subsequent to the date hereof or contains any undertaking by any Relevant Company to cap fees or to reimburse any or all fees thereunder.

Fee Reductions. Access Living has an as-needed sliding fee scale under certain circumstances such as sudden unemployment or loss of health insurance, etc., that occur during the course of treatment. Such fee reductions should be documented in writing with a signed agreement kept in the client’s records to avoid misunderstanding about fees and payment schedule.
