Exclusive Manager. The Practice agrees to engage MedCare on an exclusive basis, as manager of the Practice's programs for the diagnosis and treatment of the Conditions utilizing behavioral and biofeedback techniques. The Practice agrees further that it shall not enter into an agreement with any other organization or individual to provide services substantially similar to those provided by MedCare at any time during the term of this Agreement. Any exceptions or limitations to such exclusivity are listed on the attached Schedule 4.1.
Exclusive Manager. Owner engages Manager as, and Manager agrees to serve as, the sole and exclusive manager of the Project, with the authority to direct, supervise and manage the operation of the Project, for the period of time and upon the terms and conditions hereinafter set forth.
Exclusive Manager. During the term of this Agreement and except as otherwise provided herein, the Company engages Crdentia to act as the sole and exclusive manager and administrator of its business and operations. Crdentia is expressly authorized by the Company to perform its services hereunder in whatever manner it deems appropriate to meet the day-to-day requirements of the operations of the Company, in accordance with standards established by Crdentia, including, without limitation, performance of some business functions at other locations. The Company further agrees that during the term of this Agreement, the Company shall not, without the prior written consent of Crdentia, contract for or otherwise purchase or provide any of the management, administrative or other services provided by Crdentia to the Company hereunder.
Exclusive Manager. Subject to the provisions of this Agreement, Owner hereby engages Manager, and Manager xxxxxx agrees to be engaged by Owner and does hereby undertake to supervise, direct, and control the management, operation, and promotion of all aspects of the Hotel as the agent of Owner and as the exclusive manager and operator of the Hotel during the Operating Term. Manager shall have the exclusive authority and duty during the Operating Term to direct, supervise, manage and operate the Hotel on a day-to-day basis in accordance with the Operating Standard and the terms of this Agreement.
Exclusive Manager. Association hereby retains and appoints Vesta, and Vesta hereby accepts such retainer and appointment, on the terms and conditions set forth in this Agreement, as the exclusive manager for the Community and the Common Elements.
Exclusive Manager. Subject to the limitations and conditions herein set forth, Owner hereby appoints Manager, and Manager hereby accepts appointment as the exclusive manager of each of the Mississippi Gaming Operations, including any Mississippi Gaming Operation fifty (50%) percent or more of which is owned by any existing or future parent, brother-sister corporation or subsidiary of the Owner, or any unincorporated entity or association owned by any of the foregoing. Manager shall use its best efforts to do and perform all services, acts, or things necessary to oversee the design, layout, construction, and interior decoration of the Mississippi Casinos and shall assume full responsibility for employee training and other pre-opening activities of each Mississippi Gaming Operation, and, thereafter, upon opening of each Mississippi Casino, to direct, supervise and manage the operation of each Mississippi Casino. The operations and activities undertaken by Manager pursuant to this Agreement shall be on behalf of, and for the account and benefit of the Owner of the Mississippi Casinos. The Manager and all of Manager’s on-site employees shall be duly licensed as required under Mississippi law pursuant to regulations of the Mississippi Gaming Commission.
Exclusive Manager. Subject to the provisions of this Agreement, Corporation hereby engages Manager, and Manager xxxxxx agrees to be engaged by Corporation and does hereby undertake to supervise, direct, and control the management, operation, and promotion of all aspects of the Hotel as the agent of Corporation and as the exclusive manager and operator of the Hotel during the Operating Term.
Exclusive Manager. Subject to the limitations and conditions herein set forth, owner hereby appoints The Management Company, and The Management Company hereby accepts appointment as the exclusive manager of the Ship. The Management Company shall use its best efforts to do and perform all services, acts, or things necessary to oversee the design, layout, construction, and interior decoration of the Ship and shall assume full responsibility for employee training and other pre-opening activities of the Gaming Operation, and, thereafter, upon opening, to direct, supervise and manage the operation. The operations and activities undertaken by The Management Company pursuant to this Agreement shall be on behalf of, and for the account and benefit of the Owner.
Exclusive Manager. Owner hereby appoints Borg Property Services to act as Owner's sole and exclusive manager of the Property (“Manager”) on behalf of and in the name of Owner and as such to perform the services described in Paragraph 3 hereof.
Exclusive Manager. For the avoidance of doubt, the intent of the Parties is that Manager shall operate on a stand-alone basis from and after the Commencement Date and provide management services exclusively for the hotels owned or controlled directly or indirectly by the Company. Manager shall not rely on the personnel or resources of Manager Parent from and after the Commencement Date, except as provided herein or as mutually agreed by the Parties, and Manager Parent will have no obligation or liability with respect to any operating deficits of Manager. Manager shall not participate in any centralized services offered by Manager Parent unless agreed to by Owner and Lessee. Centralized services include, without limitation, insurance coverage, acquisition of furniture, fixtures equipment and supplies, shared employee arrangements or the provision of accounting, human resource, legal, tax and other services across multiple hotels or entities other than or in addition to the Managed Hotels. Except as otherwise agreed by Owner in its sole discretion and as set forth herein, Manager shall not enter into any agreement with Manager Parent for Manager Parent to provide any services, either directly or indirectly, relating to the Managed Hotels or otherwise receive remuneration from Manager arising from Manager’s activities pursuant to the Management Agreements except for distributions to Manager Parent of the earnings and profits of Manager.
