Exchange Value. In consideration for the sale of the Property to Buyer, Buyer will deliver to Seller an amount equal to the Exchange Value for the Property. The Exchange Value for the Property is $______________, which shall be paid in the form of, and by issuance and delivery of, _____ shares of common stock in AFH to the investors of Seller, to be distributed by the Transfer Agent at the Closing outside of Escrow in accordance with Section 13.2 hereof. Upon the request of any party hereto, whether made before or after the Closing, the parties hereto will allocate the Exchange Value to the Real Property, Improvements, Personal Property, Other Assets and the Intangibles.

Exchange Value. In exchange for the Acquired Company Shares and the Series A Preferred Shares, Xxxxxxx shall issue to the Shareholders an aggregate of Three Hundred Thousand (300,000) common shares of Xxxxxxx, par value $0.01 per share, (the "Xxxxxxx Shares") and deliver such shares in the manner provided in Section 2.02. Each of the Shareholders is exchanging 100 Acquired Company Shares and the number of Series A Preferred Shares referenced on Exhibit A attached hereto, and shall, in accordance with this Article II, be issued in exchange One Hundred Thousand (100,000) Xxxxxxx Shares.
Exchange Value. The "Exchange Value" of any RMG Shares that are --------------- the subject of an Exchange shall be equal to the product of (i) the number of RMG Shares being exchanged by (ii) the Effective Purchase Price (as that term is defined in the Exchange Agreement) in effect at the time of such Exchange.

There shall be no cash consideration paid for the conveyance of the Exchange Properties contemplated by this Agreement, it being the agreement of the parties hereto that upon conclusion of all conveyances, including the reservation of a conservation easement over City Parcel Three and a blanket utility and bridge maintenance easement over City Parcel Four, Eighth & T and the City shall receive property of a value proportionate to the property of each as conveyed to the other.
