Excess Material. At the conclusion of a Plan or upon expiry or termination of this Agreement, SIEGFRIED shall provide notice to METABOLEX of any excess Raw Material and/or Compound (the “Excess Material”) requiring disposal. METABOLEX shall instruct SIEGFRIED within [*] calendar days of receipt of such notice, whether SIEGFRIED shall deliver such Excess Material to METABOLEX (or to a METABOLEX designated Affiliate or Third Party) or otherwise dispose of such Excess Material. In the event that METABOLEX does not instruct SIEGFRIED within the above mentioned [*]-day period, SIEGFRIED may dispose of the Excess Material in its sole and absolute discretion without any further liability or obligation to METABOLEX. In any event, METABOLEX shall [*] (i) the delivery of Excess Material to METABOLEX (or to a METABOLEX designated Affiliate or Third Party) and/or any other disposal of Excess Material by SIEGFRIED. Should a mutually acceptable location on the Property not be found, the Company may remove such excess material from the Property; provided that the Company shall make a reasonable attempt to minimize the amount of excess material that it removes from the Property.

Excess Material. Some materials are purchased on reels or minimum lot sizes and as a result there may be excess unused material at the end of an order. Buyer will have the option of using excess material on a follow on order immediately following the original order or to be billed for all excess material at the end of the original order. In any event, if excess material exists at the end of the original order and cannot be utilized on future orders, Buyer will be billed for all excess materials. Excess material will vary by quantity ordered. An estimate of excess material will be provided to Buyer upon request or at time of order based on order quantity. Nortech Systems will make every attempt to minimize excess materials and charges to Buyer.

Excess Material. Provided that Material has been purchased by RSP strictly in accordance with SGI’s forecast under Section 3.3, if Material becomes unneeded for Repair Service due to termination of this Agreement, change in SGI’s requirements or the like, and RSP has no other reasonable use for such Material, RSP shall provide such Material to SGI, and SGI shall reimburse RSP for the cost thereof. RSP is to provide SGI quarterly with a list of the excess Material and justification for such excess.
