ESSENTIAL TERMS. The Contractor acknowledges and agrees that each of the provisions in Articles 30 to 36 hereof constitutes an essential term of the Contract and that any breach of any of these provisions shall entitle UNDP to terminate the Contract or any other contract with UNDP immediately upon notice to the Contractor, without any liability for termination charges or any other liability of any kind. In addition, nothing herein shall limit the right of UNDP to refer any alleged breach of the said essential terms to the relevant national authorities for appropriate legal action.
ESSENTIAL TERMS. The Innovator acknowledges and agrees that each of the provisions in Articles 25 to 33 hereof constitutes an essential term of the Agreement and that any breach of any of these provisions shall entitle UNDP to terminate the Agreement or any other contract with UNDP immediately upon notice to the Innovator, without any liability for termination charges or any other liability of any kind. In addition, nothing herein shall limit the right of UNDP to refer any alleged breach of the said essential terms to the relevant national authorities for appropriate legal action.
ESSENTIAL TERMS. All Parties hereby expressly agree and acknowledge that each of the releases contained herein constitutes an essential term of this Agreement and that the Agreement shall be null and void if any release shall not be approved or shall be deemed ineffective.

ESSENTIAL TERMS. All Parties hereby expressly agree and acknowledge that dismissal of each of the Actions to the extent set forth in this Agreement constitutes an essential term of this Agreement and that, if any of the Actions is not dismissed in accordance with this Agreement, the Agreement shall be null and void and of no further effect, with all rights, duties and obligations of the Parties thereafter restored as if this Agreement had never been executed.
ESSENTIAL TERMS. (Terms set forth in Part I, Section 4 to be filed with the FMC and published if required by 46 C.F.R. § 530.12) Subject to the terms and conditions provided for herein, for the Duration of this Contract as set forth in subsection 4.4, Carrier shall perform transportation of the Commodities set forth in subsection 4.2 between or among the Port Ranges or Geographical Areas set forth in subsection 4.1 with respect to the Minimum Volume of Goods committed by Shipper in subsection 4.3.
ESSENTIAL TERMS. The Contractor acknow- ledges and agrees that each of the provisions in articles 22 to 29 hereof constitutes an essential term of the Contract and that any breach of any of these provisions shall entitle the UPU to terminate the Contract immediately upon notice to the Contractor, without any liability for termination charges or any other liability of any kind.
ESSENTIAL TERMS. Executive understands and acknowledges that the promises in Paragraphs 8, 9, 11, 12 and 13 are a material inducement for Releasees to enter this Agreement and are of the essence of this Agreement. Executive therefore agrees that if he should breach any of the provisions of the aforementioned paragraphs, he will be obligated to return to Releasees any payments made under this Agreement, to the extent permitted by law.
ESSENTIAL TERMS. The disclaimer of warranties and the limitation of liability in this Section 7 constitute an essential part of this Agreement. A fundamental breach or breach of a fundamental term of this Agreement by SideFX shall not limit the intended effect of Section 7 or any other provision of this Agreement which is intended to limit SideFX' liability. Licensee acknowledges that, but for the disclaimer of warranties and limitation of liability, SideFX would not enter into this Agreement.
