EMPLOYEE’S PERFORMANCE. Employee hereby agrees that he will, at all times, faithfully, industriously and to the best of his ability, experience and talents, perform all of the duties that may be required of and from him pursuant to the express and implicit terms hereof, to the reasonable satisfaction of Employer.

EMPLOYEE’S PERFORMANCE. Employee hereby accepts the employment contemplated by this Agreement. During the Term, Employee shall perform his duties diligently, in good faith and in a manner consistent with the best interests of the Company, and shall devote substantially all of his business time to the performance of his duties under this Agreement.

Among such rules, procedures and standards are those governing ethical and other professional standards for dealing with customers, government agencies, vendors, competitors, consultants, fellow employees, and the public-at-large; security provisions designed to protect Company property and the personal security of Company employees; rules respecting attendance, punctuality, and hours of work; and, rules and procedures designed to protect the confidentiality of the Company’s proprietary/trade secret information. The Company agrees to make reasonable efforts to inform Employee of such rules, standards and procedures as are in effect from time to time.

EMPLOYEE’S PERFORMANCE. In performance of his duties, Employee agrees to devote such time and attention as are necessary to fulfill his duties and obligations under this Agreement and not to engage in other business activities which interfere with the proper discharge of his duties; provided, however, that Employee may serve as a director of any other corporation with the prior written approval of the Board of Directors, such approval not to be unreasonably withheld; and provided, further, that Employee may participate in charitable, civic and other similar activities so long as such participation does not unreasonably interfere with the performance of his duties hereunder. Employee shall report to the Board of Directors all of his business and investment interests which might reasonably be considered as constituting or creating a conflict of interest.
