Employee's Commitment Clause Samples

Employee's Commitment. Employee shall consider his employment by Employer as his principal employment when employed on a full-time basis as described herein, shall devote the necessary time and attention to duties and responsibilities under this Agreement, and shall perform them to the best of his abilities. While subject to any provision of this Agreement, Employee shall maintain loyalty to Employer, and shall take no action that would directly or indirectly promote any competitor to injure Employer's interests. Subject to the foregoing, Employee may engage in other charitable or business activities to the extent that they do not interfere with his obligations under this Agreement; provided that employee first discloses any such activities to Employer, and Employee's continued participation in those activities shall not be detrimental to Employer's interests.

Employee's Commitment. You agree that subsequent to your period of employment with the Company, you will not at any time communicate or disclose to any unauthorized person without the written consent of the Company, any proprietary processes of the Company or any subsidiary or other confidential information concerning their business, affairs, products, suppliers or customers which, if disclosed, would have a material adverse effect upon the business or operations of the Company and its subsidiaries, taken as a whole; it being understood, however, that the obligations of this Section 14 shall not apply to the extent that the aforesaid matters (a) are disclosed in circumstances where you are legally required to do so or (b) become generally known to and available for use by the public otherwise than by your wrongful act or omission. The intent of this Section 14 is not to create a non-competition agreement but to protect the rights of the Company as provided above.

Employee's Commitment. During Employee’s employment with the Company, Employee will not undertake or engage in any other employment, occupation or business enterprise inconsistent with his obligations under this Agreement. Subject to the foregoing, Employee agrees not to acquire, assume, or participate in, directly or indirectly, any position, investment, or interest in the Territory adverse or antagonistic to the Company, its business or prospects, financial or otherwise, or take any action towards any of the foregoing. The provisions of this Section shall not prevent Employee from owning shares of any entity engaging in Competitive Business Activity, so long as such shares (i) do not constitute more than 5% of the outstanding equity of such competitor, and (ii) are regularly traded on a national securities exchange or quoted for trading by the NASDAQ Stock Market.

Subject to the foregoing, Employee agrees not to acquire, assume, or participate in, directly or indirectly, any position, investment, or interest in the Territory adverse or antagonistic to the Company, its business or prospects, financial or otherwise, or take any action towards any of the foregoing. Employee's Commitment of Business Time to the Corporation. Employee agrees to commit all of his energies during business time to the Corporation during the Employment Term. Employee agrees that he will not engage in any other employment or business endeavor (other than personal investing, as limited by Section 4 below) while he is employed by the Corporation.

Employee's Commitment. Employee shall consider employment by Employer as Employee's principal employment, shall devote the necessary time and attention to Employee's duties and responsibilities under this Contract, and shall perform them to the best of Employee's abilities. Except as otherwise specified herein, Employee shall devote Employee's entire time, attention and energy to the business of the College and related professional activities. While subject to any provisions of this Contract, Employee shall maintain loyalty to the College and shall take no action that would directly or indirectly injure the College's interest. With the permission of the Employer, Employee may attend university courses, seminars, or other professional growth activities and lectures and shall be permitted to engage in writing activities and speaking engagements; provided that notwithstanding such approval by the Employer, Employee agrees that Employee will not jeopardize the operation of the College by any lengthy and conspicuous absence from the College for such professional activities.

Employee's Commitment. In consideration for the benefits accorded Executive hereunder, Executive agrees that: (a) During the life of this agreement Executive will faithfully perform his duties to the best of his ability and in accordance with the directions of the Board, provided that after a Change in Control of the Company such directions do not constitute good reason for Executive to terminate his employment; and Executive will devote to the performance of his duties his full working time, attention and energies; (b) Executive will not at any time during the life of this Agreement, or thereafter, communicate or disclose to any unauthorized person, or use for his own account, without the written consent of the Company, any processes, equipment or products of the Company or any subsidiary, or other information concerning their business or affairs, suppliers or customers, it being understood, however, that the obligations of this paragraph shall not apply to the extent that the aforesaid matters become generally known to and available for use by the public otherwise than by Executive's act or omission.

Employee's Commitment. You agree that subsequent to your period of employment with the Company, you will not at any time communicate or disclose to any unauthorized person, without the written consent of the Company, any confidential information of the Company or any subsidiary, including any confidential information concerning their business, affairs, products, suppliers or customers; it being understood, however, that the obligations of this Section 7 shall not apply to the extent that such matters (a) are disclosed in circumstances where you are legally required to do so or (b) become generally known to and available for use by the public otherwise than by your wrongful act or omission. You further agree to the terms of the Restrictive Covenant Agreement attached hereto as Exhibit B, which are incorporated herein by reference as if a part of this Agreement and acknowledge that you have entered into such Restrictive Covenant Agreement at the time of your entry into this Agreement and further acknowledge and agrees that you will enter into an amendment to such Restrictive Covenant Agreement, which will modify the non-solicitation covenants contained therein, on the first business day after January 1, 2008.
