Emergency Changes. In an emergency, the immediate supervisor or designate may make changes in the posted schedule, giving only such advance notice that time and circumstances permit. Such changes will involve designating employees as replacements for those situations where an employee scheduled for work does not, or will not be able to report for work. When an employee who is designated as a replacement is required to change shifts with less than sixteen (16) hours off the job between the end of his prior work period and the start of the newly assigned work period, the employee will be paid overtime rates for all hours worked which fall within the sixteen (16) hour change-over time period.

Emergency Changes. If a Service Level failure, reasonable safety concern, Governmental Authority or change in Applicable Law, requires an immediate Change to a System or Service, then AMD may implement such Change immediately upon notice to Spansion, with a copy to the Fujitsu Services Advisor. Any change in Fees, any System purchases for which AMD seeks reimbursement from Spansion, or any long-term, material degradation in Service Levels resulting from such Change, unless such degradation is unavoidably required in the circumstances (in which event AMD shall use all reasonable efforts to mitigate the impact of such degradation), shall be subject to the Change Control Procedures.
Emergency Changes. (a) Unplanned outages to Our Services may occur from time to time due to Emergency Changes and will take priority.
Emergency Changes. Changes in the installation work agreed by Trustees to be made necessary due to unforeseen Site conditions, discovery of errors in the Construction Documents requiring immediate clarification in order to avoid a serious installation work stoppage, changes of a kind where the extent cannot be determined until completed, or under any circumstances whatsoever when deemed necessary by Trustees are kinds of emergency changes which may be authorized by Trustees in writing to the Licensee. The Licensee shall commence performance of the emergency change immediately upon receipt of written direction from Trustees. If agreement is reached as to compensation and/or time adjustment for the purpose of any emergency change, then compensation and/or time extension, as appropriate, will be as provided in Sections 8.5 and 8.6. If agreement is not reached as to compensation and/or time adjustment at the time of commencing the emergency change, then compensation and/or time extension, as appropriate, then Licensee shall proceed with the changed installation work subject to a requirement that time and materials records and summaries be witnessed and maintained until the changed installation work is complete and the dispute is resolved by the Parties.

The Contractor shall commence performance of the emergency change immediately upon receipt of written direction from the University. If agreement is reached as to compensation adjustment for the purpose of any emergency change, then compensation will be as provided in this section relating to ordinary changes. If agreement is not reached as to compensation at the time of commencing the emergency change, then compensation will be as provided in section 6.01.4, that is, time and materials records and summaries shall be witnessed and maintained until either a lump sum payment is agreed upon, or the changed Work is completed.

Emergency Changes. Changes in the work made necessary due to unexpected or unforeseen site conditions, discovery of errors in 25 Drawings or Specifications requiring immediate clarification in order to avoid serious work stoppage, or changes of a kind where extent cannot be determined until completed, or under any circumstances whatsoever when deemed necessary by Owner are types of emergency changes which may be authorized by Owner in writing to Contractor. Contractor shall commence performance of emergency change immediately upon authorization. Daily job records shall be maintained. After receiving emergency authorization, Contractor shall submit detailed estimate of cost and proposed extension in contract time based on daily job records in same manner as required above. Daily job record shall constitute the basis 30 upon which Contract price shall be adjusted in same manner as set forth above. In the event agreement is not reached as to time adjustment, it shall not affect any agreement as to Contract price adjustment, but Contractor shall have the right to pursue claim for time extension.

Emergency Changes. In the event of an Emergency, Provider shall be permitted to suspend, remove, replace or change a Service (a “Provider Emergency Change”) without Company’s prior written approval to the extent reasonably necessary to deal with such Emergency, provided that (i) Provider exercises reasonable efforts to secure Company’s prior approval of such Provider Emergency Change, (ii) such Provider Emergency Change is necessary to respond to such Emergency, and (iii) Provider gives Company notice of such Provider Emergency Change immediately upon implementing such Provider Emergency Change. Any expenditures proposed to be made by Provider in connection with such Emergency shall be subject to the provisions of Exhibit D (Pricing). Company may, without first complying with the foregoing provisions of this Article 5, require that Provider terminate, remove, replace or change a Service or perform a New Service in the event of any Emergency (a “Company Emergency Change,” and a Provider Emergency Change and a Company Emergency Change may be referred to herein as an “Emergency Change”), and Provider shall implement such Company Emergency Change promptly following Company’s request to Provider. As soon as possible following any Emergency Change, but in any event no later than fourteen (14) days following such Emergency Change, the Parties shall negotiate in good faith any modifications to Services Costs, Provider’s Shared Savings and/or the [*] which are necessitated by such Emergency Change. Provider shall meet the Standard of Care in implementing any Emergency Change, and except as specifically necessary to deal with the Emergency Change nothing contained in this Section 5.10 shall operate or be construed to relieve Provider of its obligations to perform, or limit Provider’s liability for the performance of, the Services in accordance with this Agreement.
