EDS Software. The AZtec software used to analyze Oxford EDS data runs on Windows computers and is available to all users. Users can have the software installed on their lab computers by contacting their systems administrator who can then contact STS or ATUS for installation. Users are encouraged to work with the software outside of lab to become better familiar with the software. EDS data analysis should be performed offline, not during SEM sessions. EDS Software. The term "EDS Software" means any Software that is owned or developed by or on behalf of EDS before the Effective Date, or is acquired or developed by or on behalf of EDS after the Effective Date without reference to or use of the intellectual property of SK or any vendor of the SK-Vendor Software. The EDS Software that is expected, as of the Effective Date, to be used initially by EDS in performing the Services is listed in Schedule 7.1(a).

EDS Software will remain EDS' property and Wall Data will have no rights or interests therein except that, upon the expiration or early termination of this Agreement (except for termination due to non-payment by Wall Data) and subject to the other terms and conditions of this Agreement, EDS shall grant to Wall Data a perpetual, nontransferable, nonexclusive, royalty-free license to use, after the Expiration Date, any application software programs (including existing documentation) of any EDS Software then being used by EDS in
EDS Software. The EDS Providers shall install, operate and maintain [*****] any EDS Software needed to provide the Services. No EDS Provider shall use in performing the Services any EDS Software unless such EDS Software is available to the Coors Recipients following the Term or the Local Country Agreement Term, as applicable, [*****] and upon reasonable terms. As of the applicable Effective Date, each EDS Provider grants to the applicable Coors Recipient, its Affiliates, each of the third parties described in Section 3.4 and their respective contractors and subcontractors, a [*****] license during the Term or the Local Country Agreement Term, as applicable, to use EDS Software for the benefit of each Coors Recipient and its Affiliates. Except for the foregoing license, the EDS Providers retain all right, title and interest in and to the EDS Software.

EDS Software. EDS will remain EDS' property, except that EDS shall grant to Del Monte a perpetual, nontransferable (except for Permitted Transactions or Change of Control in accordance with Section 12.2), nonexclusive, royalty-free license to use, effective as of the Expiration Date or the date of termination as the case may be, the application software programs (including existing documentation) of any EDS Software, including any Del Monte Software acquired by EDS under this Agreement, then being used by EDS in rendering services to Del Monte (the "Licensed Programs"), subject to Del Monte and EDS entering into an agreement, in form and substance reasonably satisfactory to EDS and Del Monte, containing such terms and conditions as may be appropriate including, without limitation, the following terms and conditions to protect the confidentiality of the Licensed Programs:

EDS shall not use in performing the Services any EDS Software unless such EDS Software is available to Coors following the Term without charge and upon reasonable terms. As of the Commencement Date, EDS grants to Coors, its Affiliates, the third parties described in Section 3.3 and their respective contractors and subcontractors, a worldwide, royalty free, nonexclusive license during the Term to use EDS Software for the benefit of Coors and its Affiliates. Except for the foregoing license, EDS retains all right, title and interest in and to the EDS Software.
