EDS Software Clause Samples

EDS Software. The term “EDS Software” means any Software that is owned or developed by or on behalf of EDS before the Effective Date, or is acquired or developed by or on behalf of EDS after the Effective Date without reference to or use of the intellectual property of ▇▇▇▇▇▇▇▇ ▇▇▇▇▇. The EDS Software that is expected, as of the Effective Date, to be used initially by EDS in performing the Services is listed in Schedule 7.1(a).

EDS Software. The EDS Providers shall install, operate and maintain [*****] any EDS Software needed to provide the Services. No EDS Provider shall use in performing the Services any EDS Software unless such EDS Software is available to the Coors Recipients following the Term or the Local Country Agreement Term, as applicable, [*****] and upon reasonable terms. As of the applicable Effective Date, each EDS Provider grants to the applicable Coors Recipient, its Affiliates, each of the third parties described in Section 3.4 and their respective contractors and subcontractors, a [*****] license during the Term or the Local Country Agreement Term, as applicable, to use EDS Software for the benefit of each Coors Recipient and its Affiliates. Except for the foregoing license, the EDS Providers retain all right, title and interest in and to the EDS Software.

EDS Software. EDS will remain EDS' property, except that EDS shall grant to Del Monte a perpetual, nontransferable (except for Permitted Transactions or Change of Control in accordance with Section 12.2), nonexclusive, royalty-free license to use, effective as of the Expiration Date or the date of termination as the case may be, the application software programs (including existing documentation) of any EDS Software, including any Del Monte Software acquired by EDS under this Agreement, then being used by EDS in rendering services to Del Monte (the "Licensed Programs"), subject to Del Monte and EDS entering into an agreement, in form and substance reasonably satisfactory to EDS and Del Monte, containing such terms and conditions as may be appropriate including, without limitation, the following terms and conditions to protect the confidentiality of the Licensed Programs:

EDS shall not use in performing the Services any EDS Software unless such EDS Software is available to Coors following the Term without charge and upon reasonable terms. As of the Commencement Date, EDS grants to Coors, its Affiliates, the third parties described in Section 3.3 and their respective contractors and subcontractors, a worldwide, royalty free, nonexclusive license during the Term to use EDS Software for the benefit of Coors and its Affiliates. Except for the foregoing license, EDS retains all right, title and interest in and to the EDS Software.

EDS Software. All EDS Software, including all Software Changes made thereto, will be and remain EDS’ property, and ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ will have no rights or interest therein. EDS will grant to ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ a perpetual (subject to compliance with the applicable license), nontransferable, nonexclusive license to use, after the Expiration Date or the effective date of termination by ▇▇▇▇▇▇▇▇ ▇▇▇▇▇, whichever is applicable, the object code form of any application software programs, including existing documentation, of the EDS Software (if any) then being used by EDS in performing the Services, including those items of EDS Software being used at one or more EDS data centers as part of the Services as may be reasonably necessary for ▇▇▇▇▇▇▇▇ ▇▇▇▇▇’▇ continued use of ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ Software, ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ Vendor Software and any other Software to which ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ has continuing rights, solely for the purpose of ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ (or the Third Party Provider assuming the obligations of EDS hereunder) performing the information and technology systems services previously performed by EDS hereunder (the “Licensed Programs”), subject to EDS and ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ entering into an agreement, in form and substance reasonably satisfactory to EDS and ▇▇▇▇▇▇▇▇ ▇▇▇▇▇, containing such terms and conditions as may be appropriate. Notwithstanding anything to the contrary in this Agreement, such license will not include the right to use any Software Changes with respect to the EDS Software other than those in use at the time the license is granted.
