DUTIES & SERVICES. (a) During the Employment Period, Employee shall be employed in the capacity of President of the Company. In performance of his duties, Employee shall be subject to the direction of and report to the Board of Directors of the Company. Employee agrees to devote full time to the affairs of the Company, to discharge his duties hereunder to the best of his abilities and to take no action outside of the ordinary course of business that he is not specifically authorized to take by the Board of Directors of the Company. The foregoing provisions of this Section 2 shall constitute material terms of this Agreement. Employee's office shall be based in the Denver, Colorado area, but Employee shall be available to travel as the needs of the business and his obligations hereunder require. Employee shall not engage in any other business, profession or occupation for compensation or otherwise without the prior written consent of the Company's Board of Directors. (b) The provisions of Section 2(a) above notwithstanding, the parties agree that Employee owns the "Reserved Assets" set forth in Exhibit 2(b) hereto and made a part hereof. Employee may separately pursue the "Reserved Assets" so long as Employee does not engage in any material sales, marketing, development, or other substantive tasks, and so long as such matters do not interfere with Employee's full-time duties under this Agreement. In the event Employee believes a new idea, product, business or other matter is worthwhile to pursue, Employee shall present same to the Company for review. Should Company decide to pursue such matter, it shall do so on terms it deems appropriate; if not, Employee may not pursue any such matter independently.

DUTIES & SERVICES. The Consultants agree that, for a period of two (2) years beginning on the date of this Agreement (which then shall renew automatically from year to year unless sooner terminated by the Company in accordance with the terms of this Agreement): 1.1.1. The Consultants will perform certain consulting services for the Company, and will be reasonably available for approximately ten (10) hours per month and at ten (10) events per year to advise, counsel and inform designated officers and employees of the Company about the industry, business, customers, budgeting, expenses, marketing and other aspects of or concerning the Company's business about which the Consultants have knowledge or expertise. 1.1.2. The Consultants shall serve as independent representatives of the Company and shall assist and advise the Company in developing new representatives, Company products and/or services and implementing Company programs. During the term of the consulting engagement under this Agreement, the Consultants shall use the best efforts of the Consultants to further the network marketing operations of the Company and the Consultants shall be available, at such times and places for approximately ten (10) hours per month and at ten (10) events per year, as reasonably requested by the Company and agreed to by the Consultants to meet with, assist, advise and otherwise work with and for the Company and its responsible personnel with regard to: (i) advice on the proper and efficient conduct of the business of the Company and utilization of employees of the Company; (ii) future business activities of the Company as to which the Consultants may have or acquire knowledge; (iii) customer relationships and activities; and (iv) the development of business opportunities and any other matters which the parties may hereafter reasonably agree upon. It is specifically understood that the Consultants have complete discretion and control as to how their duties under this Agreement shall be discharged. The Consultants shall generally be under the supervision of and shall report to the President and Chief Executive Officer of the Company and of Darius International Inc.

DUTIES & SERVICES. Company agrees to provide assistance to the Village associated with Accounting and Financial support. See Exhibit A for scope of services and priority items. The Company shall devote such business time, attention and skill as shall be necessary to perform duties, services and responsibilities under this Agreement in such capacity as is mutually agreed upon by WHG and the Village. The Company will provide a Health check report on progress of services at 60 or 90 days whichever is mutually agreed upon by WHG and the Village.

DUTIES & SERVICES. The Company agrees to provide Accounting and Financial services and support. See Exhibit A for scope of work and responsibilities of both parties identified by the City of Charlotte in the February 16, 2023, meeting with WHG. The Company shall devote such business time, attention and skill as shall be necessary to perform duties, services and responsibilities under this Agreement in such capacity as is mutually agreed upon by WHG and the City of Charlotte. The City of Charlotte shall provide administrative access to financial systems such as BS&A and remote access to City of Charlotte network.

DUTIES & SERVICES. (a) The Association shall devote their skills, knowledge and abilities in the pursuit and successful rendering of the Services, including but not limited to digital ad operations and strategy, social media management, content, marketing vendor communications and related administrative tasks. (b) The Donor agrees that all charitable donations received in connection with his attempt at breaking a Guiness Book of World Record beginning June 16, 2024, shall be provided to the Association.

DUTIES & SERVICES. 5.1 Position: Employee is employed as Chief Executive Officer and President and shall perform such services and duties as are defined in Addendum B, Job Description, attached hereto, and as are normally associated with such position, subject to the direction, supervision and rules and regulations of Employer.

DUTIES & SERVICES. During the Term, Executive agrees to continue to serve as CFO of the Company and shall render his duties as CFO in a manner that is consistent with past practice, with Executive’s position within the Company and as assigned by the Company’s Chief Executive Officer (“CEO”) and its Board of Directors (the “Board”).

Employee agrees to discharge his duties hereunder to the best of his abilities and to take no action outside of the ordinary course of business that he is not specifically authorized to take by the Board of Directors of the Company, and that the foregoing shall constitute a material term of this Agreement. Employee shall be based in Hungary but shall be available to travel as the needs of the business reasonably require including to the United States.
