Drawdown Request. The Borrower may request the Loan to be advanced in one amount on any Business Day prior to the Final Availability Date by delivering to the Agent a duly completed Drawdown Notice not more than ten (10) and not fewer than five (5) Business Days before the proposed Drawdown Date.
Drawdown Request. The Borrower may request a Drawing to be advanced in one amount on any Business Day prior to the Commitment Termination Date, by delivering to the Agent a duly completed Drawdown Notice not more than ten (10) Business Days and not later than 12:00 noon (New York time) three (3) Business Days before the proposed Drawdown Date save in the case of a Same Day Drawing.
Drawdown Request. The Borrower may request a Drawing to be advanced in one amount on any Business Day prior to the relevant Availability Termination Date by delivery to the Agent of a duly completed Drawdown Notice not later than 10 a.m. (Paris time) on a Business Day falling not more than ten (10) and not fewer than three (3) Business Days before the proposed Drawdown Date. A Drawdown Notice shall be effective on actual receipt by the Agent and, once given, shall, subject as provided in clause 13.8, be irrevocable.
Drawdown Request. Subject to clause 3, the Borrower may request an Advance to be advanced in one amount on any Banking Day prior to the end of the Availability Period by delivering to the Facility Agent a duly completed Drawdown Notice not more than ten (10) and not fewer than seven (7) Banking Days before the proposed Drawdown Date or such shorter period as the Facility Agent may agree.
Drawdown Request. The Borrowers may request a Drawing in respect of Tranche A and/or Tranche B, in each case to be advanced on any Business Day prior to the Commitment Termination Date, by delivering to the Agent a duly completed Drawdown Notice not more than ten (10) and not fewer than three (3) Business Days before the proposed Drawdown Date save in respect of a Same Day Drawing.
Drawdown Request. Not later than the Specified Time (or, as the case may be, such later time as may be acceptable to the Agent and the Banks for the purpose of the relevant request), the Agent has received from the Borrower a notice substantially in the form set out in Schedule 6 specifying:
Drawdown Request. The request for the drawdown of an Advance may not be delivered by the Borrower until the Facility Agent has confirmed to the Borrower that it has received all of the documents listed in Art. 4.1 (Conditions Precedent) and that each is in form and substance satisfactory to the Facility Agent. In any case, a request for the drawdown will not be regarded as having been duly completed, unless the following conditions have been satisfied: The Facility Agent has received, by no later than 1.00 p.m. Munich time on the third (3rd) Business Day prior to the Drawdown Date the Drawdown Request substantially in the form of Annex 1 (it being understood that a separate Drawdown Request has to be presented for each Tranche) and having the following minimum contents: the proposed Drawdown Date, which must be a Business Day; the amount of the Advance; and the account of the Borrower or such other account as the Borrower may determine to which the Advance is to be transferred by the Facility Agent. The Borrower's Drawdown Request cannot be withdrawn; it binds and obliges the Borrower to accept the requested Advance.
Drawdown Request. Unless otherwise set forth in this Agreement, Drawdown Requests are irrevocable, and the Borrower shall draw down the Loan in accordance with the relevant Drawdown Request. In the event the Borrower fails to draw down for any reason (excluding events attributable to the Facility Agent or any Lender), the Borrower shall indemnify the Lenders and the Facility Agent from loss and costs (including losses arising from cancellation of funding or application to other uses), and the amount and the procedure of indemnification shall be in accordance with the Facility Agent’s notice thereof.
Drawdown Request. 4.2 Not later than the Specified Time (or, as the case may be, such later time as may be acceptable to the Bank for the purpose of the relevant request), the Bank has received from the Borrower a notice substantially in the form set out in Schedule 6 (Notice Requesting Advance) specifying:
Drawdown Request. The Borrower may drawdown on this Credit Facility in amounts of US$ 500,000 and multiples thereof or any other amount agreed by the Lender provided the facility Total Amount is not exceeded. Drawdown requests must be received by the Lender by 10am, London time, at least three full business days before the date funds are required. Any drawdown request must be transmitted to the Lender by facsimile to number 44 1753 517597 and should be marked ‘attention Slough Estates Treasury’. The faxed drawdown request should be signed by authorised officers of the Borrower and must include full details of the Borrower’s bank account where the proceeds are required. Funds will not be remitted direct to any party other than the Borrower.
