Distributor Agreement. (i) Prior to the distribution of any Localized Software by SMOJ to any Distributor, SMOJ and such Distributor shall enter into a Distributor Agreement. SMOJ shall not alter the material terms of such Distributor Agreement without the prior written approval of PSI, which approval will not be unreasonably withheld.
Distributor Agreement. SWI, Parent and the Stockholder shall enter into a Distributor Agreement, in the form of Exhibit D attached hereto, pursuant to which, among other matters, the parties thereto shall covenant and agree that, for a period of three (3) years after the Effective Time, the price paid by Parent and its subsidiaries to SWI and its affiliates, subsidiaries, successors and assigns (the "SWI Parties") for inventory or merchandise for resale shall be no less favorable to Parent and its subsidiaries than the then lowest current price charged by the SWI Parties to third parties in similar classes of trade (i.e., equivalent distribution channels) for such inventory or merchandise.
Distributor Agreement. In the event that either party terminates this Agreement for cause as provided in Section 12.2, then as of the effective date of such termination, the U.S. Distributor Agreement shall terminate.
Distributor Agreement. Except to the extent disclosed on --------------------- Schedule 5.1.11, Seller and each SSW Subdistributor have performed and complied --------------- with all covenants contained in the Distributor Agreement to be performed and complied with by Seller or such SSW Subdistributor to date and neither Seller nor any SSW Distributor is in breach or default (with or without the giving of notice or the lapse of time or both) under the Distributor Agreement.
Distributor Agreement. This AGREEMENT made as of the 1st day of December, 1994, by and between ALK Laboratories, a Danish corporation, with its Principal office located at Boge Alle 10-12, Xxxxxxx 000, XX-0000 Xxxxxxxx, Xxxxxxx (hereafter called ALK) and the Center Laboratories division of EM Industries, Incorporated, a New York corporation, with its principal office located at 00 Xxxxxxx Xxxxx, Xxxx Xxxxxxxxxx, XX 00000 (hereafter called CENTER).
Distributor Agreement. Lessee shall maintain the Distributor Agreement in full force and effect and perform its obligations thereunder in all material respects. Lessee shall give prompt notice to Lessor of any claim of default by or to Lessee under the Distributor Agreement and shall provide Lessor with a copy of any default notice given or received by Lessee under the Distributor Agreement and any information submitted or referenced in support of such claim of default. Lessee shall also give prompt notice to Lessor of any extensions, renewals or replacements of the Distributor Agreement and the expiration or termination of the Distributor Agreement.
Distributor Agreement. Radiant agrees that each Distributor will execute a Distributor Agreement, which shall include, at a minimum, the Distributor Terms.
Distributor Agreement. After Closing, the order, purchase, shipment, payment and other terms relevant to the wholesale purchase and sale of the Licensed Products pursuant to this Agreement shall be governed by the terms of the form of Purchase Order attached hereto as Exhibit "B" and the Uniform Commercial Code. 180
Distributor Agreement. The legally binding agreement between the Distributor and Unicity that is also referred to as the Distributorship Franchise Agreement and is part of the Contract. The Distributor Agreement is a license that is to be completed by the person or entity applying to become a Distributor and such Distributor Agreement is subject to acceptance or rejection by Unicity. The terms and conditions found online and on the reverse side of the Distributor Agreement are attached hereto as Appendix A and are incorporated herein by this reference.
