Disposables. All food containers, packaging, plates and cutlery etc. should be constructed of biodegradable materials such as paper and wood. Drinks containers should be recyclable; recyclable plastic is preferable to biodegradable plastic.
Disposables. Distributor agrees to meet the following cumulative Sales Targets for Single Use Breathing Inserts (Disposables) in the combined European Territory and Taiwanese Territory in the years 2002 and 2003: Year 2002: [***] total units, with [***] of those units purchased before March 27, 2002. Year 2003: [***] total units. To facilitate Distributor inventory sufficient to meet the above minimum Sales Targets, the following minimum Distributor purchase volumes per calendar quarter are required. Distributor shall order the specified purchase quantity in each calendar quarter, or at Distributor's option, may elect to pay HealtheTech the equivalent amount of any the required quantity not purchased (quantity × unit price) due net forty five (45) calendar days from date of invoice and HealtheTech shall invoice Distributor for any such amounts at the end of each quarter ("take or pay"). Notwithstanding the foregoing, fifty percent (50%) of the orders in excess of the minimum Distributor purchase volumes in any calendar quarter shall be credited towards the minimum Distributor purchase volumes in the subsequent calendar quarter. Disposables. Participating SYSCO companies will deliver products to participating ARAMARK Components at the prices for those products established in the contract between and ARAMARK, plus the margin set forth in Section IX(B)(10).
Disposables. The Board shall provide in its rules for the provision and budgeting for disposables for use in the Lab.
Disposables. Distributor acknowledges that the Products identified on Exhibit A as “disposable” (the “Disposables”) are perishable. Distributor shall manage its inventory such that the Disposables are shipped throughout the Territory, to the extent reasonably practicable, on a first expires-first-out basis. Distributor shall be responsible for and shall bear the full risk with respect to any unsold quantities of the Disposables remaining in Distributor’s inventory beyond the stated shelf-life thereof. Without limiting the generality of the foregoing, and notwithstanding anything to the contrary herein, the Disposables that remain unsold in Distributor’s inventory beyond the stated shelf-life thereof shall not be subject to any credits, refunds or exchanges.
Disposables. The parties acknowledge that the proper use of the Product requires the use of disposable plastic xxxxxxx. CRII shall be responsible for obtaining the xxxxxxx which will be provided to end users both on the initial unit purchase and thereafter re-supplied on an ongoing basis. CRII will be entitled to recoup the manufacturing cost for the xxxxxxx less tooling for molds and the accumulated revenue loss from disposable sales, prior to the equal division of gross profits from the sales of xxxxxxx which will be dispersed on a quarterly basis by CRII. CRII will have the exclusive rights to sell, market and manufacture the xxxxxxx.
Disposables. ICB will provide to Licensee, for an additional charge, the Disposables necessary for Tissue Processing pursuant to this Agreement and as required by the ICB Protocol. Licensee agrees not to use any Disposables and supplies not specified and approved by ICB. A list of the Disposable and their prices is set forth in Exhibit F attached hereto.
Disposables. For a period of five (5) years from the Effective Date ----------- of this Agreement, MEDI-JECT agrees to notify BECTON in writing no more than (***) months before MEDI-JECT either commits capital to manufacture or commits to a third-party to manufacture for it more than (***) DISPOSABLES per calendar year and MEDI-JECT agrees to negotiate with BECTON, before any others, for exclusive rights to manufacture such DISPOSABLE for MEDI-JECT. BECTON shall have (***) days after receiving such written notification to notify MEDI-JECT if BECTON desires to exercise its right of first refusal. Failure to provide such notice in a timely manner shall result in a forfeiture of such right of first refusal as to such DISPOSABLE. Upon receipt of notice by MEDI-JECT from BECTON that it intends to exercise its right of first refusal, BECTON and MEDI-JECT shall negotiate, in good faith and in an expeditious manner, terms and conditions satisfactory to both parties under which BECTON would exclusively manufacture and sell such DISPOSABLE, unless otherwise agreed to by the parties. If the parties are unable to agree on the terms and conditions of an agreement within a period of (***) days after receiving the notification from MEDI-JECT provided for under this Paragraph, MEDI-JECT shall be free to offer the same rights to such DISPOSABLE as were offered to BECTON to any third party on terms no more favorable in the aggregate to that third party than the terms last offered to BECTON.
Disposables. 1. In addition and in order to be able to evaluate the Evaluation unit, via the Consignment Stock or SZM, the Customer wishes to purchase the following (collectively, the “Disposables”):

TearLab shall use commercially reasonable efforts to provide Disposables with no more than (a) four (4) months of the stated shelf life having elapsed on the date of the shipment by TearLab to Distributor, for the Disposables having regulatory allowed shelf life of less than eighteen (18) months, and (b) six (6) months of the stated shelf life having elapsed on the date of the shipment by TearLab to Distributor, for the Disposables having regulatory allowed shelf life of at least eighteen (18) months. Distributor shall be responsible for and shall bear the full risk with respect to any unsold quantities of the Disposables remaining in Distributor’s inventory beyond the stated shelf-life thereof. Without limiting the generality of the foregoing, and notwithstanding anything to the contrary herein, the Disposables that remain unsold in Distributor’s inventory beyond the stated shelf-life thereof shall not be subject to any credits, refunds or exchanges.
