Disallowances. Any payments made to Executive such as interest or entertainment expenses incurred by Executive, which shall be disallowed in whole or in part as a deductible expense by the Internal Revenue Service, shall be reimbursed by Executive to the Company to the full extent of such disallowance. In lieu of payment by Executive, subject to the determination of the Board, proportionate amounts may be withheld from Executive's future compensation payments until the amount owed to the Company has been recovered.
Disallowances. The Corporation reserves the right to disallow any amount claimed by the Contractor not in accordance with this Agreement. The Contractor will be notified, in writing, of any disallowances and shall be given the opportunity to resubmit any charges, with explanations, within thirty days of receipt of such notice.

Any disallowance and/or penalties where County is not required to, or does not, indemnify Contractor shall be the sole responsibility of Contractor. This includes any and all State disallowances and/or penalties.
Disallowances. DOHMH shall review the expense reports and supporting documentation as required, and shall disallow any expenses that were not rendered, documented and/or authorized in accordance with the terms of this Agreement, or for failure to deliver any required services or work product. However, DOHMH shall not unreasonably disallow expenses submitted pursuant to this Agreement.
