Disability Definition. For the purposes of this Agreement, “Disability” shall have the meaning set forth in the Company’s then current long term disability benefit program or, if no such program is then in effect, shall mean a permanent disability rendering Employee unable to perform his duties for the Company for ninety (90) consecutive days or one hundred eighty (180) days in any twelve (12) month period, which determination shall be made after the period of disability, unless an earlier determination can be made, by an independent physician appointed by the Board.

Disability Definition. For purposes of this Agreement, “Disability” (and similar terms) means Grantee’s physical or mental condition resulting from any medically determinable physical or mental impairment that renders Grantee incapable of engaging in any substantial gainful employment and that can be expected to result in death or that has lasted or can be expected to last for a continuous period of not less than 365 days. Notwithstanding the foregoing, Grantee shall not be deemed to be Disabled as a result of any condition that:

Disability Definition. Termination by the Company of Employee’s employment based upon “Disability” shall mean termination because of Employee’s absence from Employee’s duties with the Company on a full-time basis for a continuous period of five (5) months as a result of Employee’s incapacity due to physical or mental illness, unless within thirty (30) days after Notice of Termination (as hereinafter defined) is given to Employee following such absence, Employee shall have returned to the full-time performance of Employee’s duties.
