Director's services. (A) Without prejudice to the generality of Clause 3, the Director shall during his Appointment under this Agreement :-

Director's services. So long as the Director shall continue to be a Director of the Bank, the Director shall devote the Director’s best efforts to the performance of the Director’s duties as a member of the Board of Directors and any of the Bank’s committees to which the Director is appointed.
Director's services. Executive is currently acting as a director on Company's Board. Neither DPL nor Executive shall be separately compensated for Executive's director services, and Executive's director services shall be deemed fully compensated by the compensation provided to DPL and/or Executive hereunder.

(a) UMC hereby authorizes Director on a non-exclusive basis to solicit hospitals, physicians, clinics, and other healthcare providers in PUERTO RICO AND THE U.S.V.I (the "Sales Area") to use the UMC Services, to assist UMC in entering into contracts with solicited hospitals and clinics to provide the UMC Services, and to support UMC in maintaining its business relationships with solicited hospitals and clinics. Director acknowledges UMC may itself market the UMC Services within the Sales Area, and that UMC has the right to enter into agreements with others, including sales agents, for the sale of the UMC Services within the Sales Area.
