The Delivery Materials clause defines the obligations and requirements regarding the provision of specific materials or deliverables by one party to another under a contract. Delivery Materials. 4.1 Banijay shall deliver the Delivery Materials to the Licensee or provide access to the Licensee to the Delivery Materials according to Section 1. Banijay is not obliged to make delivery if the Licensee is in breach of its obligations under this Agreement including any failure to make any payment due prior to delivery of the Title(s).
4.2 The Licensee may use and copy the Delivery Materials according to this Agreement in the course of exercising the Rights. The copyright in the Delivery Materials and any copies made according to this Agreement remains the property of the owner of the Rights and/or ▇▇▇▇▇▇▇. The Licensee shall not create any lien, charge, pledge, mortgage or other encumbrance over any of the Delivery Materials or copies of the Delivery Materials.
4.3 The Delivery Materials will be sent to the Licensee with the costs billed to the Licensee’s nominated courier account unless the Delivery Materials are delivered electronically.
4.4 The Licensee will notify ▇▇▇▇▇▇▇ within fourteen t (14) Business Days of delivery of any defects in the Delivery Materials. If no defects in the Delivery Materials are notified to Banijay within fourteen (14) Business Days of the delivery, the Delivery Materials will be deemed to have been accepted by the Licensee. Upon receiving the notice ▇▇▇▇▇▇▇ will promptly replace any defective Delivery Materials. Costs of inspection of Delivery Materials will be met by the Licensee. After delivery is accepted the Licensee will not have any grounds to return the Delivery Materials including but not limited to on the basis of any defects, in relation to the content or any circumstances surrounding the actors/ locations or scenes within the Title(s).
4.5 If ▇▇▇▇▇▇▇ is unable to supply Delivery Materials without defects, ▇▇▇▇▇▇▇ may substitute another programme of comparable quality and entertainment value selected by ▇▇▇▇▇▇▇ with the written (email being sufficient) approval of the Licensee. Any substituted programme will be treated as the Title for the purposes of this Agreement.
4.6 If the Licensee does not approve any substituted programme:
(a) this Agreement will terminate, however, if the Agreement relates to other Titles then the Agreement shall be deemed to be amended accordingly to remove the abandoned title(s) and the remaining licensed Titles shall remain as part of the Agreement;
(b) any part of the Licence Fee paid to ▇▇▇▇▇▇▇ in respect of the programme which is not substituted will be refunded to the Licensee; and

Delivery Materials. ESPN shall make full and complete delivery to Genius or its designees, at ESPN’s sole cost, of each and every item specified below as set forth herein and any other material required to be delivered pursuant to this agreement, to the following address in California or elsewhere in the Territory as Genius may designate. When delivery of an element is by access, it shall be substantially in the form of the laboratory access letter attached hereto. All Delivery Materials are to be delivered to Genius, ▇▇▇▇ ▇▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇, Attention: Chief Operating Officer. All must be subtitled or dubbed into English before delivery, with the acknowledgment and approval of Genius. All non-film materials not originally in English (including foreign language publicity materials) are to be provided along with an English translation.

For each Existing Owned AV Work and each New Owned AV Work where GTV acquires the SVOD Rights, Gaiam Brand will deliver the Delivery Materials (as defined and detailed on Schedule A annexed hereto) to GTV, at GTV’s expense, promptly following the date on which the SVOD Rights in such Covered AV Work are first available for exploitation.
Delivery Materials. The Picture will be delivered as follows:
a) On or before DUE DATEOF ALL DELIVERY ITEMS Producer will deliver to Distributor the materials specified in Exhibit A hereto, accompanied by a fully executed lab access letter (irrevocable for the term) for access to the Master materials. If any said materials are not acceptable to Distributor, Distributor will notify the Producer of any technical problems or defects within (10) business days, and Producer will promptly replace the defective materials at Producers' sole expense. Distributor shall have no right to terminate this Agreement unless and until Producer has failed to cure any such defects within thirty (30) days after notice thereof from Distributor. If no objection is made within ten business days of delivery of an item, the item will be deemed acceptable. If Distributor creates its own artwork and trailers for the Picture, Ownership of these materials shall vest in Producer, and Producer shall have the right to use said materials at any time for the Domestic release of the picture, and anywhere in the Universe after the term of this Agreement expires. Any artwork or copyrightable material commissioned by Distributor shall be created pursuant to a written contract, signed before the material is created, which states the work is a work-for-hire and that Producer is owner of all rights.
b) Producer will concurrently with the delivery of the materials deliver to Distributor a list of contractual requirements for advertising credits to persons who rendered services or furnished materials for such Picture and a list of any restrictions.
c) All materials delivered to Distributor shall be returned to Producer within 30 days of the end of the term.
d) Time is of the essence hereof.
Delivery Materials. Execution Copy -------------- THIS PROGRAM SUPPLY AND TRADEMARK LICENSE AGREEMENT (this "Agreement") is entered into as of December 23, 2002 and effective as of April 1, 2002 (the "Effective Date"), between Playboy Entertainment Group, Inc., a Delaware corporation ("PEGI"), and Playboy TV-Latin America, LLC, a California limited liability company ("Company").

Delivery Materials. The film and sound elements shall conform to the final edited version of the Picture and shall be in the same ratio of camera picture images in which the Picture was photographed.
