Databases. CLIENT HEREBY ACKNOWLEDGES AND AGREES THAT THE CLINICAL INFORMATION CONTAINED IN THE DATABASE PORTIONS OF THE SOFTWARE (COLLECTIVELY, THE “DATABASES,” WHICH DATABASES SHALL BE INCLUDED IN THE DEFINITION OF THE SOFTWARE) IS INTENDED TO SUPPLEMENT, NOT REPLACE, THE KNOWLEDGE, SKILL AND JUDGMENT OF HEALTHCARE PROFESSIONALS REGARDING PATIENT CARE, DRUG THERAPY PROBLEMS AND PATIENT COUNSELING INFORMATION, AND IS SOLELY FOR USE BY OR UNDER THE DIRECT SUPERVISION OF LICENSED HEALTHCARE PROFESSIONALS. CLIENT AND ITS AUTHORIZED USERS ARE ADVISED TO REVIEW THE DEFINITIONS, FUNCTIONALITY AND LIMITATIONS OF THE SOFTWARE AND SERVICES. CLIENT IS RESPONSIBLE FOR ENSURING THAT ITS AUTHORIZED USERS FOLLOW PROPER PROCEDURES REQUIRED BY LAW INCLUDING, WITHOUT LIMITATION, HIPAA, AND BY GOOD PROFESSIONAL MEDICAL AND DATA HANDLING PRACTICE WITH REGARD TO THE FORM OF PATIENT RECORDS, THE CREATION AND STORAGE OF BACKUP COPIES OF COMPUTERIZED PATIENT RECORDS, CONSENTS TO TREAT OR DISCLOSE, AND USE AND RELEASE OF DATA. CLIENT SHALL COMPLY WITH ALL RECOMMENDATIONS OF COMPANY REGARDING FOLLOWING COMPANY’S THEN-CURRENT, APPLICABLE POLICIES REGARDING USE OF THE SOFTWARE AND ALL UPDATES, UPGRADES, WORKAROUNDS OR MODIFICATIONS THERETO. CLIENT IS RESPONSIBLE FOR IMPLEMENTING AND MAINTAINING ADEQUATE PROCEDURES AND CHECKPOINTS TO SATISFY ITS PARTICULAR REQUIREMENTS FOR ACCURACY OF DATA INPUT AND OUTPUT. NEITHER THE PROVISION NOR SUPPORT OF THE SOFTWARE BY COMPANY SHALL BE DEEMED TO BE ADVICE AS TO THE CONFORMITY OF THE SOFTWARE WITH ANY APPLICABLE STATE, FEDERAL OR LOCAL LAW.
Databases. Allscripts shall not create the capability in its products and services, or permit the use of its products and services, to write to Practice Management Product database except in conformance with written standards and procedures approved by IDX in advance. IDX shall not create the capability in its products and services, or permit the use of its products and services, to write to any Allscripts Product database except in conformance with written standards and procedures approved by Allscripts in advance. The parties shall regularly keep each other informed of their respective standards and procedures.
Databases. 8.4.1 Company acknowledges and agrees that the Databases and all revisions, modifications and enhancements thereof provided by AEC to Company under this Agreement are the exclusive and proprietary information of AEC. Title and full ownership rights thereto, including copyright, trade secret, trademark, trade name and other intellectual and proprietary rights, are reserved to, and shall remain with and be the valuable property of, AEC. Company acknowledges the valuable, proprietary nature of the Databases, including all revisions, modifications and enhancements thereof, and agrees that irreparable injury will result from any use, disclosure, reproduction or distribution of the Databases that is not authorized by this Agreement and agrees not to contest in any way whatsoever the proprietary status of the Databases or AEC's subsisting copyrights therein. Company will not remove any proprietary or confidential legends or markings which AEC has placed upon or within the Databases. Transfer of certain Store ------------ [***] Confidential treatment has been requested for the bracketed portion. The confidential redacted portion has been omitted and filed separately with the Securities and Exchange Commission.
Databases. AEC represents and warrants that AEC (and its affiliates) is the rightful owner and/or licensor of the DATABASES, including the copyrights, trademarks, trade names or other property rights contained therein and being licensed herein by AEC. Notwithstanding the foregoing, AEC does not warrant that it owns any rights to the digitized or electronic images (e.g., album cover graphics, portraits, etc) ("Images") required for COMPANY to use such Images for any application. It shall be COMPANY's sole responsibility to identify and solicit any necessary approvals for its use of the Images. AEC and its affiliate, MATRIX, shall not be liable for any indirect, special, incidental, exemplary, consequential or other loss or damages arising out of or caused by the licensing, delivery, installation or operation of the Images.
Databases. “Databases” consist of certain designated records of Property Insight accessible via an on-line system. The PI/GI Database includes the property index (“PI”) and the General Index (the “GI” and sometimes known as the Individual/Corporation Index). Property Insight’s Corporation, Limited Partnership and Notary Inquiry System (“CPN System”) contains certain information provided to Property Insight by the Office of the Secretary of State. The Image System contains electronic copies of certain Maps, Official Records and Starters (“Image System”). The tax service database consists of tax, bond and assessment information. Property Insight may develop, or acquire the right to offer access to other Databases. If access to any such other Database is made available by Property Insight to Customer, any special terms of such access shall be as set forth in an amendment hereto or on an amended County Schedule, as applicable.
Databases. 6.1 Call Related Databases are the databases set forth in this Attachment, other than OSS, that are used in signaling networks for billing and collection, or the transmission, routing or other provision of a telecommunications service. Notwithstanding anything to the contrary herein, BellSouth shall only provide unbundled access to BellSouth Switched Access (SWA) 8XX Toll Free Dialing Ten Digit Screening Service, Line Information Database (LIDB), Signaling, Signaling Link Transport, Signaling Transfer Points, SS7 AIN Access, Service Control Point\Databases, Local Number Portability Databases, and SS7 Network Interconnection at the prices set forth herein where BellSouth is required to provide and is providing unbundled access to local circuit switching to TCG.
Databases. The content of any LuxSci-hosted databases that the customer may be using for web hosting or SecureForm data storage.
